AMENDMENT NO. 1 TO
EMPLOYMENT AGREEMENT WITH
CARL CAHILL FOR CITY MANAGER SERVICES
THIS AMENDMENT is made and entered into at Los Altos Hills, California,this
flay of June, 2007, by and between the TOWN OF LOS ALTOS HILLS,a municipal
corporation,hereinafter sometimes referred to as the "TOWN," and CARL CAHILL, an
individual, hereinafter referred to as "CAHILL."
WITNESSETH:
WHEREAS, TOWN and CAHILL(collectively"the Parties") are parties to that
certain Employment Agreement for City Manager Services,dated June 22, 2006; and
WHEREAS, the Agreement is due to expire June 30, 2007 and the Parties desire
to extend the term of CAHILL's employment; and
WHEREAS, the Parties wish to increase the amount of compensation set forth in
the Agreement, and the Parties now desire to amend the Agreement to reflect the
increased compensation amount.
NOW,THEREFORE,in consideration of the mutual promises,covenants and
stipulations herein contained,the parties hereto agree as follows:
AMENDMENT
1. The term of the Agreement set forth in Section 2 (A) shall be extended through June
30, 2008.
2. The annual salary set forth in Section 3 shall be increased $152,820 effective June 23,
2007.
3. All other provisions of the Agreement shall remain in full force and effect.

RESOLUTION OF'THE CITY COUNCIL OF THE
TOWN OF LOS ALTOS HILLS
APPROVING AND AUTHORIZING EXEUCTION OF
AMENDMENT NO. 1 TO THE CITY MANAGER
EMPLOYMENT AGREEMENT BETWEEN THE TOWN
OF LOS ALTOS HILLS AND CARL CAHILL
WHEREAS,the City Council of the Town of Los Altos Hills has read and considered
that certain Amendment No. 1 to the City Manager Employment Agreement("Amendment")
between the Town and Carl Cahill; and
WHEREAS, the City Council wishes to extend Carl Cahill's term as City Manager of
the Town of Los Altos Hills and increase his salary.
NOW,THEREFORE,the City Council of the Town of Los Altos Hills does
RESOLVE as follows:
That the Town hereby approves Amendment No. 1 to the Employment Agreement
between the Town of Los Altos Hills and Carl Cahill, a copy of which is attached hereto as
Exhibit A and the Mayor is hereby authorized to execute Amendment No. 1 on behalf of the
Town of Los Altos Hills. A,q
