EMPLOYMENT AGREEMENT WITH
CARL CAHILL FOR CITY MANAGER SERVICES
THIS AMENDMENT NO. 7 TO EMPLOYMENT AGREEMENT(this "Amendment")
is made and entered into at Los Altos Hills, California, this /9 day of June 2014 ("Effective
Date"),by and between the TOWN OF LOS ALTOS HILLS, a municipal corporation,
hereinafter sometimes referred to as the"TOWN," and CARL CAHILL, an individual,
hereinafter referred to as "CAHILL." TOWN and CAHILL are hereinafter collectively referred
to as the"Parties." Capitalized terms shall have the definitions set forth in the Agreement or as
otherwise set forth herein.
WITNESSETH:
WHEREAS,TOWN and CAHILL entered into that certain Employment Agreement for
City Manager services, dated June 22, 2006, attached hereto as Exhibit A ("Agreement"); and
WHEREAS, in June of 2007, the Parties executed Amendment No. 1 to the Agreement,
in June of 2008, the Parties executed Amendment No. 2 to the Agreement, in June of 2009, the
Parties executed Amendment No. 3 to the Agreement, in April of 2010, the Parties executed
Amendment No. 4 to the Agreement, in July of 2011, the Parties executed Amendment No. 5 to
the Agreement, and in September of 2012 the Parties executed Amendment No. 6 to the
Agreement; and
WHEREAS, the Parties wish to extend the term of CAHILL'S employment, modify the
amount of compensation, and clarify other terms as set forth below.
NOW, THEREFORE, in consideration of the mutual promises, covenants and
stipulations herein contained, the Parties agree to amend the Agreement as follows:
AMENDMENT
1. Section 2 (A) is hereby amended to read as follows: The term of this Agreement shall be
extended through June 30, 2015. CAHILL agrees to remain in the exclusive employ of the
TOWN until the effective date of termination set forth herein, and neither to accept other
employment, nor to become employed by any other employer until effective date of
termination set forth herein.
2. Section 3 is hereby amended to read as follows: TOWN agrees to pay CAHILL for his
services rendered pursuant hereto, an annual salary of$185,000 payable in installments at the
same time other employees of the TOWN are paid.
3. Section 4(A)(4) is hereby amended to read as follows: Retirement. CAHILL shall pay the
employee share of the California Public Employees Retirement System ("PERS")
contribution, at the same rate required of other TOWN employees. In Fiscal Year 2014-2015,
the employee share of the PERS contribution is two percent(2%); the Town contribution to
the employee share of the PERS contribution is five percent (5%). In Fiscal Year 2015-2016,
the employee share of the PERS contribution is three percent(3%); the Town contribution to
the employee share of the PERS contribution is four percent(4%).TOWN shall pay the
TOWN share of the PERS contribution. CAHILL shall receive the same PERS benefit as for
other TOWN employees, which is an amount totaling two percent (2%) at the age of fifty
five (55).
4. Section 5 is hereby amended to read as follows: The City Council shall review and evaluate
the performance of CAHILL annually in June of each year, in accordance with specific
criteria and performance expectations as developed jointly by the City Council and CAHILL.
Such criteria may be added to or deleted as the City Council may from time to time
determine in consultation with CAHILL. CAHILL shall report steps taken to achieve such
specific criteria and performance expectations to the City Council six months after their
development. In addition,the City Council may evaluate the performance of CAHILL at any
time the City Council so desires.
5. All other provisions of the Agreement shall remain in full force and effect.

WHEREFORE, the Parties have executed this Amendment as of the Effective Date written
above.

RESOLUTION 40-14
A RESOLUTION OF THE CITY COUNCIL OF THE
TOWN OF LOS ALTOS HILLS APRROVING AND AUTHORIZING THE
EXECUTION OF AMENDMENT NO. 7 TO THE EMPLOYMENT AGREEMENT
WITH CARL CAHILL FOR CITY MANAGER SERVICES
WHEREAS, the City Council has previously approved an employment agreement for city manager
services with Carl Cahill and six amendments to that agreement; and,
WHEREAS, the City Council and Carl Cahill desire to further amend that agreement to extend the
term, modify the compensation, and clarify additional terms as set forth in the amendment.
NOW, THEREFORE, the City Council of the Town of Los Altos Hills does hereby approve
Amendment No. 7 to the Employment Agreement between the Town of Los Altos Hills and Carl Cahill
and also authorizes the Mayor to execute Amendment No. 7 on behalf of the Town of Los Altos Hills.
The above and foregoing resolution was passed and adopted by the City Council of the Town of Los
Altos Hills at a regular meeting held on the 19th day of June, 2014 by the following vote:
