HomeMy WebLinkAboutAV Integrators 4.0 AGREEMENT THIS AGREEMENT is made and entered into on the 30 day of December, 2013 by and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as "TOWN") and AV Integragors (hereinafter referred to as "CONTRACTOR"). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONTRACTOR. Shall provide or furnish the following specified services and/or materials: Design and installation of an HDTV television production system in the Town of Los Altos Hills City Council Chambers for the purpose of cablecasting/recording City Council meetings. 2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a part of this Agreement: Proposal from CONTRACTOR dated October 7, 2013 3. TERMS. The services and/or materials furnished under this Agreement shall commence January 1, 2014 and shall be completed by March 31, 2014, unless terminated pursuant to Section 5(f). 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONTRACTOR an amount not to exceed forty nine thousand nine hundred seventy two dollars and twenty eight cents ($49,972.28) within thirty (30) days following receipt of invoice and completion/delivery of services/goods as detailed in Sections 1, 2, and 3 of this Agreement and only upon satisfactory delivery/completion of goods/services in a manner consistent with professional/industry standards for the area in which CONTRACTOR operates. TOWN is not responsible for paying for any work done by CONTRACTOR or any subcontractor above and beyond the not to exceed amount. bG. Town shall not reimburse for any of CONTRACTOR's costs or expenses to deliver any services/goods. Town shall not be responsible for any interest or late charges on any payments from Town to CONTRACTOR. c. CONTRACTOR is responsible for monitoring its own forces/employees/agents/ subcontractors to ensure delivery of goods/services within the terms of this Agreement. TOWN will not accept or compensate CONTRACTOR for incomplete goods/services. Town of Los Altos Hills Page 1 of 4 mw form Updated 4123110 5. GENERAL TERMS AND CONDITIONS. a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONTRACTOR under this Agreement. With regard to CONTRACTOR'S work product, CONTRACTOR agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of any nature to the extent caused by the negligent performance of CONTRACTOR under this Agreement. b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance before commencing any services under this Agreement as follows: i. WORKERS COMPENSATION INSURANCE: Minimum statutory limits. ii. COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE INSURANCE: General Liability and Property Damage Combined. $1,000,000.00 per occurrence including comprehensive form, personal injury, broad form personal damage, contractual and premises/operation, all on an occurrence basis. If an aggregate limit exists, it shall apply separately or be no less than two (2) times the occurrence limit. iii. AUTOMOBILE INSURANCE: $1,000,000.00 per occurrence. iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate. v. NOTICE OF CANCELLATION: The City requires 30 days written notice of cancellation. Additionally, the notice statement on the certificate should not include the wording "endeavor to" or "but failure to mail such notice shall impose no obligation or liability of any kind upon the company, its agents or representatives." vi. CERTIFICATE OF INSURANCE: Prior to commencement of services, evidence of insurance coverage must be shown by a properly executed certificate of insurance and it shall name "The Town of Los Altos Hills, its elective and appointed officers, employees, and volunteers" as additional insureds. vii. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, age, ancestry, religion or sex of such person. d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement is not a contract of employment and does not create an employer- employee relationship between the TOWN and CONTRACTOR. At all times CONTRACTOR shall be an independent contractor and CONTRACTOR is not authorized to bind the TOWN to any contracts or other obligations without the express written consent of the TOWN. In executing this Agreement, CONTRACTOR certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of TOWN. e. CHANGES. This Agreement shall not be assigned or transferred without advance written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. This Agreement may only be amended by a written instrument signed by both parties. f. TERMINATION. This Agreement may be terminated by TOWN upon seven (7) days written notice to CONTRACTOR. Monies owed for work satisfactorily completed shall be paid to CONTRACTOR within 14 days of termination. g. RECORDS. All reports, data, maps, models, charts, studies, surveys, calculations, photographs, memoranda, plans, studies, specifications, records, files, or any other documents or materials, in electronic or any other form, that are prepared or obtained pursuant to this Agreement and that relate to the matters covered hereunder shall be the property of the TOWN. CONTRACTOR hereby agrees to deliver those documents to the TOWN at any time upon demand of the TOWN. It is understood and agreed that the documents and other materials, including but not limited to those described above, prepared pursuant to this Agreement are prepared specifically for the TOWN and are not necessarily suitable for any future or other use. Failure by CONTRACTOR to deliver these documents to the TOWN within a reasonable time period or as specified by the TOWN shall be a material breach of this Agreement. TOWN and CONTRACTOR agree that until final approval by TOWN, all data, plans, specifications, reports and other documents are preliminary drafts not kept by the TOWN in the ordinary course of business and will not be disclosed to third parties without prior written consent of both parties. All work products submitted to the TOWN pursuant to this Agreement shall be deemed a "work for hire." Upon submission of any work for hire pursuant to this Agreement, and acceptance by the TOWN as complete, non-exclusive title to copyright of said work for hire shall transfer to the TOWN. The compensation recited in Section 4 shall be deemed to be sufficient consideration for said transfer of copyright. ENTIRE AGREEMENT. This Agreement represents the entire agreement between the Parties. Any ambiguities or disputed terms between this Agreement and any attached Exhibits shall be interpreted according to the language in this Agreement and not the Exhibits. 6. INVOICING. Send all invoices to the contract coordinator at the address below. This Agreement shall become effective upon its approval and execution by TOWN. System design will emphasize flexibility,reliability and ease of use. System Description: • The AV Production system for the City Council Chambers will feature 2 ea. robotic HD cameras with integral pan/tilt/zoom capability. The cameras will be able to be controlled from either the TV production console or from an owner-supplied AMX control panel at the Clerk's desk. • The cameras will feed a Panasonic AW-HSSONI production switcher. The production switcher will allow for a 24" multi-view monitor which will show input sources as well as the preview and program outputs. • The HD cameras will be controlled from a dedicated camera control panel which will have the ability to manually control each camera,store individual camera presets,and recall these camera presets. • Color balancing of the 2 cameras will be via the camera's internal automatic white balance capability. • The system will feature a broadcast quality critical monitor with on-screen video waveform/vectorscope capability as well as on-screen audio metering to ensure proper signal levels are reaching the owner-furnished Granicus encoder. • The computer and display signal infrastructure will be changed to digital from analog allowing all computer inputs to be either VGA+audio OR HDMI with embedded audio. The system will replace the currently installed but non- functional Analog Way VGA switcher. Computer input locations(podium, presenter table,City Clerk position)will be modified such that either signal type can be input to the system at each location.These system inputs will be auto-sensing such that it will accommodate a single input automatically, regardless of signal type. If it is a VGA signal,the interface will convert it to a digital signal and transmit it on to the projector,the existing dais monitor distribution amplifier,and the new production switcher in digital format. The switching equipment will be located in the existing rack behind the dais. Computer inputs into the system at the podium will be: o Clerk Computer o Presenter Podium o Presenter Table • The system will convert the analog XGA signal out of the existing document camera into a digital signal to allow it to be switched to the room projector and the dais monitors via the same digital infrastructure. • Under control of the existing AMX system,the user will be able to select which computer/document camera source will be presented on the projector and on the dais monitors for display in the council chamber and simultaneously fed to the video production switcher. Signals sent to the existing projector will be sent digitally. Signals sent to the dais will be reconverted to VGA for display on the existing dais monitors. • The system will present a standard definition video signal to the existing Granicus encoder while simultaneously sending a down-converted HD signal in standard definition format to a DVD recorder. • The TV production console and electronics will be built into a room at the back of the town council chamber. The TV production system electronics will be housed in an equipment rack adjacent the console table. Control console will be a modular workstation table. The production switcher,camera controller and system monitors will all reside on the console table top. The monitors will include a 18"critical monitor,a 24"multiviewer monitor. • The television control room will have an audio mixer to be able to adjust the audio levels of the house audio feed far the television broadcast • The system will be designed such that in the absence of a video production person,either camera or the computer source displayed on the room's projector can be switched to the Granicus encoder/DVD recorder via the AM% touchpanel at the City Clerk's position -1 - AV-integrators, Inc. 131 Industrial Road, Suite 1, Belmont. CA 94002 tel 650.593.8333 fax 650.593.8330 www.AV-integrators.com 4.11 Scope of Work AV-integrators Scope of Work is submitted contingent upon the following conditions: • Scope of Work submitted pursuant to AV Integrators standard terms and conditions,a copy of which is attached. • Work area will he free of any hazardous materials,specifically asbestos and lead-based paint. • Premises will be available for work to proceed on consecutive working days during normal working hours. • Adequate power and room cooling will be provided by others. • All owner-furnished equipment is serviceable and in good working order. Replacement of any failed piece owner- furnished equipment deemed necessary for system operations will be the responsibility of the Town of Los Altos Hills. • Cables to/from system components will either be installed above ceiling in a manner consistent with industry- standard practices or in-wall where practical or on the surface of the wall in surface-mounted, non-metallic raceway. • Disposal/recycling of unused electronics and equipment racks will be the responsibility of the Town of Los Altos Hills. • All applicable sales tax/use tax will be the responsibility of the customer. Work To Be Performed: • Identify equipment and wiring from existing system which will be preserved. • Dismantle existing analog computer switching system and place equipment in designated onsite location for disposition by Town of Los Altos Hills. • Mount cameras and pull wire to new camera positions from control room. • Mount and connect new computer interface devices as described above. • Build rack and console. Mount all new equipment in rack and complete rack interconnect. • Interconnect all equipment • Modify AMX existing AMX control program to control new digital computer switching system • Debug and Final Systems Test/Commissioning. • Deliver binder w/system diagrams, user-manuals,user-interface specification,and uncompiled AMX software. • Provide 3 ea.2 hour operations classes to staff. Terms • Terms will be 50%with order,35%upon delivery of all equipment, 15%upon completion of system installation. Warranty • Installation materials and workmanship are warranted for one year from date of completion. • Manufacturer's OEM warranty on new equipment will apply.
