This Grant Agreement is made and entered into as of the 16th day of January 2015 by and
between Los Altos Hills Historical Society (the "Grantor"), a California nonprofit public benefit
corporation and the Town of Los Altos Hills (the "Grantee"), a California general law city.
Recitals
A. The Grantor has elected to dissolve and distribute its remaining assets, net of all costs
and expenses related to the dissolution and distribution in the amount of approximately $21,000
(the " Grant") to the Grantee, to be used. in furtherance of the Grantor's purposes as set forth
below.
B. The Grantee has purposes that are consistent with the Grantor's purposes and has an
interest in using the Grant to advance the Grantor's purposes.
Agreement.
The parties hereby agree as follows:
1. In connection with its dissolution, the Grantor shall pay to the Grantee the amount of
the Grant.
2. The Grantor shall use the Grant solely and exclusively for the preservation of historical
artifacts and for presentation of these artifacts and historical information that the Grantee
determines in good faith to be within the Grantor's purposes.
3. The grant is conditioned upon the Grantee expending the grant for the purposes set
forth herein and, where appropriate, crediting the Grantor as the source of the funds.
IN WITNESS WHEREOF ,the parties have entered into this Agreement as of the date
first above written.
