In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONTRACTOR, Shall provide or furnish the following specified services and/or materials: Evaluate the current pathway in -lieu fee and conduct a pathway in -lieu fee nexus study 2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a part of this Agreement: 3. TERMS. TOWN shall pay CONTRACTOR an amount not to exceed fifteen thousand dollars and zero cents ($15,000) within thirty (30) days following receipt of invoice and completion/delivery of services/goods as detailed in Sections 1, 21 and 3 of this Agreement and only upon satisfactory delivery/completion of goods/services in a manner consistent with professional/industry standards for the area in which CONTRACTOR operates. TOWN is not responsible for paying for any work done by CONTRACTOR or any subcontractor above and beyond the not to exceed amount. _k,, Town shall not reimburse for any of CONTRACTOR's costs or expenses to deliver any services/goods. Town shall not be responsible for any interest or late charges on any payments from Town to CONTRACTOR. c. CONTRACTOR is responsible for monitoring its own forces/employeeslagents/ subcontractors to ensure delivery of goods/services within the terms of this Agreement. TOWN will not accept or compensate CONTRACTOR for incomplete goods/services. Town of Los Altos Hills Page 1 of 4 Short form Updated 4123110 5. GENERAL TERMS AND CONDITIONS. a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONTRACTOR under this Agreement. With regard to CONTRACTOR'S work product, CONTRACTOR 'agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of any nature to the extent caused by the negligent performance of CONTRACTOR under this Agreement. b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance before commencing any services under this Agreement as follows: i. WORKERS COMPENSATION INSURANCE: Minimum statutory limits. ii. COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE INSURANCE: General Liability and Property Damage Combined. 1,000,000.00 per occurrence including comprehensive - form, personal injury, broad form personal damage, contractual and premisesloperation, all on an occurrence basis. If an aggregate limit exists, it shall apply separately or be no less than two (2) times the occurrence limit. iii. AUTOMOBILE INSURANCE: $1,000,000.00 per occurrence. iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate. v. NOTICE OF CANCELLATION: The City requires 30 days written notice of cancellation. Additionally, the notice statement on the certificate should not include the wording "endeavor to" or "but failure to mail such notice shall impose no obligation or liability of any kind upon the company, its agents or representatives." vi. CERTIFICATE OF INSURANCE: Prior to commencement of services, evidence of insurance coverage must be shown by a properly executed certificate of insurance and it shall name "The Town of Los Altos Hills, its elective and appointed officers, employees, and volunteers" as additional insureds. vii. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, age, ancestry, religion or sex of such person. d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement is not a contract of employment and does not create an employer-employee relationship between the TOWN and CONTRACTOR. At all times CONTRACTOR shall be an independent contractor and CONTRACTOR is not authorized to bind the TOWN to any contracts or other obligations without the express written consent of the TOWN. In executing this Agreement, CONTRACTOR certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of TOWN. e. CHANGES. This Agreement shall not be assigned or transferred without advance written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. This Agreement may only be amended by a written instrument signed by both parties. f. TERMINATION. This Agreement may be terminated by TOWN upon seven (7) days written notice to CONTRACTOR. Monies owed for work satisfactorily completed shall be paid to CONTRACTOR within 14 days of termination. g. RECORDS. All reports, data, maps, models, charts, studies, surveys, calculations, photographs, memoranda, plans, studies, specifications, records, files, or any other documents or materials, in electronic or any other form, that are prepared or obtained pursuant to this Agreement and that relate to the matters covered hereunder shall be the property of the TOWN. CONTRACTOR hereby agrees to deliver those documents to the TOWN at any time upon demand of the TOWN. It is understood and agreed that the documents and other materials, including but not limited to those described above, prepared pursuant to this Agreement are prepared specifically for the TOWN and are not necessarily suitable for any future or other use. Failure by CONTRACTOR to deliver these documents to the TOWN within a reasonable time period or as specified by the TOWN shall be a material breach of this Agreement. TOWN and CONTRACTOR agree t ' hat until final approval by TOWN, all data, plans, specifications, reports and other documents are preliminary drafts not kept by the TOWN in the ordinary course of business and will not be disclosed to third parties without prior written consent of both parties. All work products submitted to the TOWN pursuant to this Agreement shall be deemed a "work for hire." Upon submission of any work for hire pursuant to this Agreement, and acceptance by the TOWN as complete, non-exclusive title to copyright of said work for hire shall transfer to the TOWN. The compensation recited in Section 4 shall be deemed to be sufficient consideration for said transfer of copyright. ENTIRE AGREEMENT. This Agreement represents the entire agreement between the Parties. Any ambiguities or disputed terms between this Agreement and any attached Exhibits shall be interpreted according to the language in this Agreement and not the Exhibits. 6. INVOICING. Send all invoices to the contract coordinator at the address below. This Agreement shall become effective upon its approval and execution by TOWN. Our firm's history and composition are summarized below: • We were founded in 2002, and incorporated in California. • Our headquarters are based in Mountain View, California with a Southern California office in Irvine. As the project manager, Ms. Ramos will be the primary contact for the project and will provide her expertise by leading interviews, discussing draft reviews, and presenting final results. Khushboo Hussain: A Manager with the Matrix Consulting Group, and will serve as the Lead Project Analyst. Ms. Hussain will participate in interviews and coordinate necessary data collection for the financial analysis, as well as develop customized excel models. Jessica Deshong: A Consultant with the Matrix Consulting Group, will serve as a Data Analyst Ms. Deshong will assist with collection and compilation of necessary data, model development, and provide analytical support. Project Manager Most recently, Ms. Ramos managed cost of service or fee studies for the following jurisdictions: Maui County (HI), Livermore, Vacaville, Fairfield, Long Beach, Pasadena, San Bernardino County, Suisun, and Winters (CA) as well as the Contra Costa County Sanitary District; Ft. Lauderdale, Kissimmee, and Cape Coral (FL); Asheville, (NC) Austin and Dallas (TX). In addition to her analytical work on client projects, Ms. Ramos developed the Cost Allocation Model used by the Matrix Consulting Group. Khushboo Hussain Ms. Hussain has been a part of the Matrix Consulting Group for more than five years. Summary and Approach The Matrix Consulting Group works with a wide variety of clients ranging from small towns to major metropolitan cities in over 41 states across the U.S. Every project is unique, and is managed according to the following essential project approaches: • Reputation for effective project management: Our clients value the personal attention, enthusiasm, responsiveness, timely delivery, and expertise provided on their projects. This attention to project management is demonstrated in our work approach, as shown in the detailed work plans provided for each project. • Cross -trained project team: Our project team's background in both financial and management analysis provides them with a unique understanding of the work processes and service level assumptions behind cost and fees for service. • Communication with the Town: At the onset of the project, a detailed schedule will be developed outlining key deadlines and deliverables, and regular progress reports will be provided to the Town's Project Manager. We are known for being available to clients and for providing prompt responses to questions or issues. • Town staff support: The Matrix Consulting Group is mindful of the Town's current workload and our approach is to work with our clients' staff to minimize project impacts through strong project management, clear expectations of our roles versus staff roles, and careful as well as realistic scheduling. These approaches have led to high rates of implementation for all of our project results. The Town of Los Altos Hills currently charges a Pathway In -Lieu Fee based upon the size of the pathway or a minimum fee on a per lot basis. As the fee is an "in -lieu" fee it must be in compliance with Government Section Code 66000 of the Mitigation Fee Act. Conducting a nexus study will help the Town ensure that the nexus for charging the Pathway In -Lieu Fee exists, as well as help evaluate the current fee amount. The project team will work with Town staff to review existing General Plan and growth projection assumptions, as well as other data to ensure that any development impact fees calculated are legally defensible and allowable. Matrix Consulting Group Page 4 Proposal to Conduct a Pathway In -Lieu Fee Nexus Study LOS ALTOS HILLS, CA The following tasks describe the approach the project team would undertake along with a brief narrative and expected Town Staff support for each task. Task 1 1 Project Initiation The project team will meet with Town staff to clarify the intended goals and purpose of the engagement. The purpose of this task is to develop an initial understanding of the Town's current projected growth levels and any future developments that will impact that population growth. During this meeting, the project team will provide Town staff with an overview of the scope, methodology, and detailed timeline for the project. The project team will review the Town's specific needs and critical issues surrounding development and implementation of the Pathway In -Lieu Fee Nexus Study. Discussions will include the primary purpose of the in -lieu fee, application of the fee, and funds collected by the fee. Based on the results of these discussions, the project team will have a greater understanding of the goals and objectives of the Town in conducting this impact fee study and will provide the Town with a detailed project implementation plan. Where possible, we would like to use Town -specific data and will ask Town staff for access to Facilities Master Plans, General Plan, the Pathway's Master Plan, and proposed development projects in the pipeline. This data would include review of the Town's current and proposed Pathways Map. The information from the Map would be used as a starting point to determine if the proposed map is still accurate based upon proposed development projects, as well as if there is the need for additional pathways based upon the Town Pathways Committee recommendation or City Council. Task 4 1 Develop Draft Impact Fee Analysis Utilizing the data collected in the previous task and depending upon the Town's choice to either continue with or alter its existing service levels, the project team will develop service and demand standards to identify capital financing needs for developing Pathways. The project team will work with Town staff to identify all funding opportunities including property tax, grants, donations, and impact fee revenues. Trask 5 1 Calculate Draft Maximum Impact Fee and Comparative Survey There are two components to the calculation of impact fees: the total cost of facilities and their cost basis. The following points describe these components: Total Cost of the Facilities ® Infrastructure: There are three different sub- components that comprise the maximum cost of the facilities that can be used for Matrix Consulting Group Page 6 Proposal to Conduct a Pathway In -Lieu Fee Nexus Study LOS ALTOS HILLS, CA the calculation of impact fees: Cost of Facilities / Infrastructure, Administrative Cost, and Offsetting Credits / Revenues. Cost Basis: There are several different cost bases that can be used for the calculation of impact fees, such as per lot, square footage, etc. Impact fees will be presented out in separate components: administrative and infrastructure. This will allow the Town flexibility to choose to recover either the full or a portion of the cost associated with implementing the in -lieu fee. The project team will work with Town staff to ensure that the in -lieu fee calculated meets the desired service levels, and goals of the Town. The results of the impact fee analysis will be presented to Town staff at two different submittal review meetings. At this point in the process, the project team would conduct a comparative survey of surrounding jurisdictions or other agencies with Pathway In -Lieu fees. The comparative survey will focus not only on the fee amount, but if possible, the date of last update to the fee amount, the date of the nexus study, and the methodology for charging — flat fee per lot or per lineal foot per lot. Task 6 1 Finalize Nexus Study Report Once the Draft In -Lieu Fee has been approved by Town Management, the project team will develop the Final Nexus Fee Study Report. The Final Nexus Fee Study Report will provide the legal justification for the Pathway In -Lieu Fee, ensuring compliance with state statutes, including its ability to meet the five findings required by the Mitigation Fee Act. The report will also identify the best management practices associated with calculation and collection of impact fees. The project team will discuss different implementation options of impact fees, including alternatives to impact fees, if there is no nexus for an impact fee. Even after completion of the final impact fee study, the project team will be available to Town staff to answer any questions and provide any documentation related to the impact fee study and analysis. Project Deliverable MCG Town Services Required • Presentation at Town Pathways Committee • Attendance at Committee and Council and City Council Meeting Meeting —Estimated Town Staff Support Hours: 2-4 hours for Town Management and Public Works Director 3 Schedule Studies of this nature typically take a minimum of 10-12 weeks to complete. However, due to the Town's need for an accelerated study, the project team has developed an aggressive timeline for completion of the study by the middle of November, which would result in an 8-9 week timeline depending upon commencement of the project. The following graphic shows by task, the proposed project schedule: All timelines can be adjusted based upon the Town's schedule and other commitments in agreement with staff. While we have accounted for the presentation of results starting in Week 8, the presentation of results would occur after Final approval by Town Management and any point after completion of the study. Matrix Consulting Group Page 8 Proposal 10Conduct a Pathway In -Lieu Fee Nexus Study LOS ALTOS HILLS, CA The Matrix Consulting Group is proposing to complete a Pathway In -Lieu Fee Nexus Study for a fixed not -to -exceed amount of $15,000. The following chart provides a breakdown ofproject staff hours by team member and costs for each task. We typically bill on a monthly basis.
