Dear Ms. Revillar:
This engagement letter is to update our agreement for non -audit services with the Town of Los Altos
Hills (the "Town"). The standards to which Eide Bailly LLP ("EB") will conform, are intended to maintain
objectivity and independence for both audit work and for non -audit work with government audit clients.
The standard for non -audit services for government audit clients is based on two overarching principles:
• Auditors (EB) should not perform management functions or make management decisions; and
■ Auditors (EB) should not audit their own work or provide non -audit services in situations where
the amounts or services involved are significant / material to the subject matter of the audit.

The firm of Eide Bailly LLP is available to assist you with financial consulting and accounting services
covering your accounting records. Our firm is ready to begin work on this project as of the date of this
engagement letter.
SCOPE OF WORK
Specific services to be provided follow. Any additional services requested, other than routine advice and
training will require an amendment of this agreement:
• Assist with related year end closing entries and note disclosures
• Assist in reconciling account statements to your agency's general ledger system
• Assist in drafting financial statements
• We will assist the Town by documenting recommended changes to procedures and accounting
practices for better controls and efficiencies purposes
• We will assist the Town in implementing additional procedures and controls to its accounting
function
• Assist with other related accounting work as directed

CLIENT RESPONSIBILITIES
The work will be non -audit services as defined by Governmental Auditing Standards issued by the
Comptroller General of the United States. Our work will not constitute an audit or review of
transactions and should not be relied upon as such.
In performing our engagement, we will be relying on the accuracy and reliability of information provided
by the Town personnel. We will not audit, examine, or review the information. Please also note that our
engagement cannot be relied on to disclose errors, fraud, or other illegal acts that may exist. The
procedures we perform in our engagement will be heavily influenced by the representations that we
receive from the Town personnel. Accordingly, false representations could cause inaccurate findings
and, therefore, inappropriate recommendations may be developed and critical recommendations may
go unidentified. By signing this agreement, you indicate you understand and accept responsibility for the
accuracy and completeness of the information provided to us by the Town of Los Altos Hills personnel.
The Town is responsible for the appropriate recording and reporting of financial transactions and
management decisions. Accordingly, all work will be conducted at your direction, the direction of the
Finance Director, to insure that the work meets the Town's objectives. The Finance Director will be
responsible for reviewing and accepting any work product directly prepared by EB, including any
adjustments to the accounting records that may be proposed by EB, or reports drafted by EB during the
engagement.
Governmental Auditing Standards require that the Town be responsible for the substantive outcomes of
EB work and be in a position in fact and appearance to make an informed judgment on the results of the
non -audit services and that the Town:
• Designate a knowledge management level individual to be responsible and accountable for
overseeing the non -audit services.
• Establishes and monitors the performance of the non -audit services to ensure that it meets
management's objectives.
• Makes any decisions that involve management functions related to the non -audit services and
accepts full responsibility for such decisions.
• Evaluates the adequacy of the services performed and any findings that result.
Eide Bailly LLP has owners that are not licensed as certified public accountants as permitted under
Section 5079 of the California Business and Professions Code. It is not anticipated that any of the non-
licensee owners will be performing audit services for the agency.
EB will abide by an amount not to exceed figure as noted by an issued Town purchase order or services
agreement. Fees will be billed on a monthly basis in accordance with the rate prescribed below:

The engagement may be terminated by either party without cause.
We are an independent contractor as defined by Federal and State taxing authorities.
We maintain current worker compensation and liability insurance policies.
If this letter correctly sets forth your understanding of the terms and objectives of the engagement,
please so indicate by signing in the space provided below.
It is our policy to keep records related to this engagement for seven years. However, Eide Bailly LLP does
not keep any original client records, so we will return those to you at the completion of the services
rendered under this engagement. When records are returned to you, it is your responsibility to retain
and protect your records for possible future use, including potential examination by any government or
regulatory agencies.
