This Grant Agreement is made and entered into as of the 16th day of January 2020 by and
between Karen Druker (the "Grantor"), a private donor, and the Town of Los Altos Hills (the
"Grantee"), a California general law city.
Recital
A. The Grantor has elected to dissolve and distribute its remaining assets, net of all costs and
expenses related to the dissolution and distribution in the amount of approximately $100,000 (the
"Grant") to the Grantee, to be used in furtherance of the Grantor's purposes as set forth below
B. The Grantee has purposes that are consistent with the Grantor's purposes and has an
interest in using the Grant to advance the Grantor's purposes.
Agreement
The parties hereby agree as follows:
1. In connection with its dissolution, the Grantor shall pay to the Grantee the amount of the
Grant.
2. The Grantor shall use the Grant solely- and exclusively for the acquisition, delivery, and
installation of public art that the Grantee determines in good faith to be within the Grantor's
purposes.
3. Acquisition of public art must comply with Section IV(A) (a) -(g) of the Town's Art in
Public Places Policy.
4. The Grant is conditioned upon the Grantee expending the Grant for the purposes set forth
herein and, where appropriate, crediting the Grantor as the source of funds.

Dear City Council Members,
It is my intention with this letter and the enclosed. bank draft to donate to the
Town of Los Altos Hills the sum of One Hundred Thousand dollars. This sum
is intended for the acquisition of one or more sculptural artworks for public
display within the town at an outdoor site or sites). I do not wish to
participate in the selection of the artwork or site or in the acquisition
process. I assume that the Town's Public Art Committee will make those
choices.
I look forward to the City Council's formal acceptance of this donation and to
the Successful acquisition and installation of new beautiful sculptur - e in our
Town,

RESOLUTION 02-20
A RESOLUTION OF THE CITY COUNCIL OF THE TOWN
OF LOS ALTOS HILLS ACCEPTING DONATION OF.
$1009000 FOR ART IN PUBLIC PLACES AND AUTHORIZING
THE CITY MANAGER TO EXECUTE GRANT AGREEMENT
WITH KAREN DRUKER
WHEREAS, the Town of Los Altos Hills Gifts and Donation Policy was adopted on November
17,2016;and
WHEREAS, the Town received a donation of $100,000 by Karen Druker;
WHEREAS, the donation is restricted for sculpture acquisition, transportation and installation in
public places;
WHEREAS, arts acquired with donated funds must comply with criteria established in Section
IV(A) (a) -(g) of the Town's Art in Public Places Policy.
NOW THEREFORE, the City Council of the Town of Los Altos Hills does hereby resolve as
follows:
1. Accept an anonymous donation of $100,000, restricted for art in public places;
2. Authorize the City Manager to sign the Gift Agreement between Karen Druk-er and the
Town of Los Altos Hills; and -
3. Amend. the 2019-20 Operating and Capital Budget by increasing Special Donation Fund
revenues by $100,000.
The above and foregoing Resolution was passed and adopted by the City Council of the Town of
Los Altos Hills at a regular meeting held on 16th day of January .2019 by the following vote:
AYES: Wu, Tankha, Corrigan, Spreen, Tyson
NOES: None
