Per your request, WRECO is pleased to submit this request to extend the agreement period for the
Los Altos Hills Sanitary Sewer System Expansion Study and Plan Project. The original period of
performance for this project was from October 1, 2006 to December 22, 2006. WRECO would like
to extend the performance period to December 31, 2008.
The original agreement amount was $57,000 and this amount will remain unchanged.

A RESOLUTION OF THE CITY COUNCIL
OF THE TOWN OF LOS ALTOS HILLS
AWARDING A CONTRACT TO WRECO
FOR SANITARY SEWER SYSTEM EXPANSION STUDY
WHEREAS, the City Engineer of the Town of Los Altos Hills did duly examine the
bid proposal for engineering consultant services of sanitary sewer system expansion
study for the Town of Los Altos Hills;
WHEREAS, the City Engineer recommends that the contract for said study be
awarded to WRECO in the amount of not -to -exceed $57,000.00 ;
NOW, THE, RE IT RESOLVED by the City Council of the Town of Los
Altos Hills that the City Manager is hereby authorized and directed to execute the
agreement to the above-named firm on behalf of the Town of Los Altos Hills.

AGREEMENT
BY TRIS AGREEMENT made and entered into on the 28th day of September, 2006, by and
between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as TOWN) and:

(hereinafter referred to as CONSULTANT). In consideration of their mutual covenants, the
parties hereto agree as follows:
1. CONSULTANT. Shall provide or furnish the following specified services and/or materials:
Perform sanitary sewer system expansion study for the Town which consists of:
e preparation of a sanitary sewer master plan updates,
® sanitary sewer system layouts of the Town
® construction cost estimates for the Town at the built -out condition.
2. EXHIBITS. The following attached exhibits hereby are made a part of this Agreement:
Exhibit "A": Scope of Work and Budget from CONSULTANT
3. TERMS. The services and/or materials furnished under this Agreement shall commence on
October 1, 2006 and shall be completed by December 22, 2006
4. COMPENSATION. For the full performance of this Agreement:
a. TOWN shall pay CONSULTANT: Time and materials not to exceed $57,000.00 as
further described in Exhibit "A".
5. GENERAL TERMS AND CONDITIONS.
a. HOLD HARMLESS with respect to operations. CONSULTANT agrees to indemnify,
defend and hold harmless the TOWN, its officers, agents and employees from any and all
demands, claims or liability of personal injury (including death) and property damage of
any nature, caused by or arising out of the performance of CONSULTANT under this
Agreement.
Professional Services: As respects to the performance of Professional Services under
this Agreement, CONSULTANT shall indemnify and hold harmless City, including
officers, employees, agents, and employees from any and all claims, demands, costs
including but not limited to reasonable attorney's fee and other costs of defense, or
liability to the extent arising from or connected with the Services provided hereunder due
to negligent act, errors, omissions or willful misconduct of the Consultant or anyone for
whom CONSULTANT is legally responsible.

b. INSURANCE. CONSULTANT shall file with the TOWN a certificate of insurance
before commencing any services under this agreement meeting minimum coverage
requirements established by TOWN's City Manager.
c. NON-DISCRIMINATION. No discrimination shall be made in the employment of
persons under this agreement because of the race, color, national origin, age, ancestry,
religion or sex of such person.
d. INTEREST OF CONSULTANT. It is understood and agreed that this agreement is not a
contract of employment in the sense that the relation of master and servant exists between
the TOWN and undersigned. At all times CONSULTANT shall be deemed to be an
independent CONSULTANT and CONSULTANT is not authorized to bind the TOWN
to any contracts or other obligations. In executing this agreement, CONSULTANT
certifies that no one who has or will have any financial interest under this agreement is an
officer or employee of TOWN.
e. CHANGES. This agreement shall not be assigned or transferred without the written
consent of the TOWN. No changes or variations of any kind are authorizedwithout the
written consent of the City Manager.
f. TERMINATION. This agreement may be terminated by TOWN upon thirty (30) days
written notice to CONSULTANT. CONSULTANT may terminate this agreement upon
thirty (30) days written notice to TOWN. Monies then owing based upon work
satisfactorily accomplished shall be paid to CONSULTANT.
6. INVOICING. All invoices shall be mailed or delivered to the attention of the City
Engineer (contract coordinator) at the address below.
This Agreement shall become effective upon its approval and execution by TOWN. In witness
whereof, the parties have executed this Agreement the day and year first written above.

WRECO SCOPE OF WORK
Sewer System Master Plan Update
Town of Los Altos Hills
Task I: Information Review
Preparing the SSMP Update will require a comprehensive understanding of the existing Town
Sanitary Sewer facilities and the projected system requirements as the Town approaches build -out
conditions. The existing system information to review will include. all existing pipelines and pump
stations and existing system use estimates. WRECO understands that the Town will provide the
following information as AutoCAD format data:
• Aerial photography
• Topography
• Available as -built plans and relevant project data
• Water line maps from Purissima Water District.
• The Town's General Plan including Town limit and Sphere -of -Influence limit.
• The Town's current maintenance operations, including staffing and budget
• The Town's current fee schedule for sewage
In addition, WRECO understands that the Town will soon install seven permanent flow meters and
data from these monitors will likely be available for development of the SSMP Update
WRECO's review will also include a field inspection trip with visits to all of the existing pump stations
as well as likely sites for future pump stations. WRECO understands that the Town intends to
construct pump stations below ground, within the Town's right-of-way and, consequently, site
inspections will pay particular attention to location and constructability.
As mentioned in the Request for Proposals, approximately 50% of the Town's parcels serve their
sanitary sewage requirements with septic tank and leach field systems and many of these systems
have already reached states of problematic deterioration. The SSMP update must include sufficient
information to serve all of the Jown's sanitary sewer requirements, assuming every last parcel
connects to the Town's sanitary sewer system. Consequently, the information necessary for the
study of built -out conditions includes the types of development the Town will allow over the Master
Plan period, including all possible new connections to the system both within the Town Limits and
outside the Town Limits and within the Town's Sphere -of -Influence.
The Town already has per-unit estimates developed by the Cities of Los Altos and Palo Alto for their
respective sanitary sewer basins. WRECO recommends a detailed re-examination of existing and
projected per-unit usage estimates. It is understood that this item is outside the basic scope of
services requested by the Town, but WRECO suggests including such a study as an optional extra
item among the engineering efforts.
WRECO staff will perform all assignments within this task.
Task II: Evaluation Report
The Evaluation Report task is the largest single portion of the Expansion Study and will update the
existing Sanitary Sewer Master Plan information. It includes as sub -tasks both analysis and
compilation of findings into a technical report.

Based on our findings in the Information Review task, including the Sanitary Sewer Master Plan
prepared for the Town in January 2004, the WRECO team will prepare the Evaluation Report
updating the sanitary sewer master plans, focusing on system future hydraulic capacity
requirements.
The Evaluation Report will revise the information in the 2004 SSMP to guarantee that the Town has
sufficiently detailed information to plan future projects and expenditures. WRECO will provide this
detail in a technical report section whose contents will be coupled to the master layout and the
engineering cost estimate tasks.
The task assignments will be distributed as follows:
• WRECO staff will develop the evaluation regarding the system demands
• WRECO will develop the pipeline portion of the Master Plan.
• Garber Engineering will develop the pump station portion of the Master Plan.
• Garber Engineering will develop the specifications for the Master Plan.
Deliverable: Evaluation Report. Section of Expansion Study Report
Task II1. Sanitary Sewer System Master Layout
WRECO's staff includes computer-aided drafting technicians with a sophisticated understanding of
the capabilities of modern drafting technology, particularly regarding the depiction of utility systems,
imagery and topography in three dimensions.
Our staff will develop a large format layout depicting the system that the Town will require to meet
built -out condition requirements, including pipeline dimensions, pump station locations and manhole
rim elevations. To assist the Town in understanding the project items in the Expansion Study, the
layout that will graphically identify future projects
Deliverable: Large Format Master Built -Out Condition Layout Figure in AutoCAD format.
Task IV: Engineering Cost Estimate
WRECO will prepare an itemized cost estimate of the projects necessary to expand the system to
meet build out requirements and use this to develop both suggested Capital Improvement Plan (CIP)
tasks including phasing for budgeting and construction.
WRECO will take the total listof tasks necessary to upgrade the system, and then logically group
those tasks for inclusion in the Town's CIP. The itemized project list will include basic project
definitions including location and components, time requirements and an engineering cost estimate.
Project total costs will be provided as well as itemized costs for each project. The itemized costs will
include long-term maintenance and, where applicable, unit costs including labor and material, such
as cost per length of installed pipe lines for mains.

WRECO will organize these CIP tasks in a suggested order of completion by priority, considering
existing equipment replacement requirements and optimal project sequencing. The deliverable for
the CIP items sub -task will include:
• Project List: A spreadsheet listing projects in order of suggested completion, including a
basic description, estimated time requirement and engineering cost estimate for each project.
• Project Descriptions: Detailed project descriptions including description, location, priority,
motivation, scheduled timing, project completion time requirement and project itemized cost
estimate with unit costs, where applicable.
The task assignments will be distributed as follows:
• Garber Engineering will develop all unit costs and costs relating to pumping stations.
• WRECO will develop all other costs.
• WRECO will compile the costs and prepare the deliverable.
Deliverable: Project List and Detailed Project Descriptions
Task Ve Meetings
Meetings with Town staff will be an essential part of maintaining the focus necessary to finish the
project tasks according to the project schedule. The scope includes the following three two-hour
meetings:
1. Kick-off Meeting
2. Progress Report Meeting (Teleconference or In -Person)
3. Draft Report Discussion Meeting
The labor requirement for the Meetings task includes transit time and time for two more meetings to
be schedule as required.
Task VI: Presentation
The final task item is a presentation to the Town Council. This task includes four hours of time from
the Principal -in -Charge and the Project Manager for the presentation, itself, and an additional four
hours of preparation time for the Project Manager, a Staff Engineer and an Office Administrator.
