HomeMy WebLinkAboutMark Srebnik, ArchitectAGREEMENT BY THIS AGREEMENT made and entered into on the 20th day of August, 1999, by and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as TOWN) and: Mark Srebnik, Architect 1644 Dallas Court Los Altos, CA 94024 (650) 969-5757 (hereinafter referred to as CONTRACTOR). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONTRACTOR. Shall provide or furnish the following specified services and/or materials: Preparation of Report outlining work needed to update facilities to meet ADA requirements, and to prepare preliminary project budget for ADA update work, building insulation and window replacement. 2. EXHIBITS. The following attached exhibits hereby are made a part of this Agreement: Exhibit A: August 27, 1999 Agreement for the Provision. of Limited Professional Services 3. TERMS. The services and/or materials furnished under this Agreement shall commence on August 23, 1999 and shall be completed on or before September 30, 1999, unless extended in writing by the City Manager. The cost of this agreement to the Town shall not exceed $3,850.00 plus reimbursable expenses. 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONTRACTOR: according to the Fee section shown on page 2 of Exhibit A b. No costs of CONTRACTOR. shall be reimbursed by the Town, other than up to $50.00 for equipment and supplies, with prior approval of the City Manager. CONTRACTOR shall not bill for travel time. 5. GENERAL TERMS AND CONDITIONS. a. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance before commencing -any services under this agreement meeting minimum coverage— requirements established by TOWN's City Manager. _ b. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this agreement because of the race, color, national origin, age, ancestry, Teligion or sex of such person. c. INTEREST OF CONTRACTOR. It is understood and agreed that this agreement is not a contract of employment in the sense that the relation of master and servant exists between the TOWN and undersigned. At all times CONTRACTOR shall be deemed to be an independent CONTRACTOR and CONTRACTOR is not authorized to bind the TOWN to any contracts or other obligations. In executing this agreement, CONTRACTOR certifies that no one who has or will have any financial interest under this agreement is an officer or employee of TOWN. Contract: Srebnik Page 2 d. CHANGES. This agreement shall not be assigned or transferred without the written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. e. TERMINATION. This agreement may be terminated by TOWN upon ten (10) days written notice to CONTRACTOR. Monies then owing based upon work satisfactorily accomplished shall be paid to CONTRACTOR. 6. INVOICING. All invoices shall be mailed or delivered to the attention of the City Manager (contract coordinator) at the address below. This Agreement shall become effective upon its approval and execution by TOWN. In witness whereof, the parties have executed this Agreement the day and year first written above. Architect to perform field reconnaissance of Town Hall and Water District buildings. 3. Architect to prepare written report outlining work needed to update facilities to meet ADA requirements (no drawings.to be included). 5'. _Architect to prepare preliminary project budget for ADA update work, building insulation and window replacement. - 6. Architect to deliver one copy of report to Town,. No Title 24, structural, mechanical, civil, and other engineering services are Included. Public hearings, meetings with City Council/Planning Commission,_ etc are not included. Fee Arrangement $3850.00 $3850.00 plus reimbursable expenses up to a maximum of $50 for services as described above. Any additional services requested or not listed above will be an Additional Service as described below. Client shall authorize any additional services prior to Architect performing any such services. - American with Disabilities Act (ADA) Barrier Removal The American with Disabilities Act (ADA) provides that it is a violation of the ADA to design and construct a facility for its first occupancy later than January 26, 1993, that does not meet the accessibility and usability of the ADA except where an entity can demonstrate that it is structurally impractical to meet such requirements. In addition, the ADA requires removal of architectural barriers in existing facilities where such removal is readily achievable. The definition of "readily achievable" contained in the ADA is flexible and subject to interpretation on acase-by-case basis. The requirements of the ADA will be -subject to various and possibly contradictory interpretations. MS, A -AIA , therefore, will use its best professional efforts to interpret applicable ADA requirements and other federal, state and local laws, rules, codes, ordinances, and regulations as they apply to your project, and to advise you as to the modifications to your existing facility - that may be required to comply with the AD4..,YS, A -AIA , however, cannot and does not warranty or guarantee that your project will comply with all interpretations of the ADA requirements _and/ or the -requirements of otherf ral, state and local:aaws, rules, codes,- ordinances, and regulations as they apply !bnil<, Offered:MarkSr Architect • AIA C15249 1 of 1
