(2)AGREEMENT BY THIS AGREEMENT made and entered into on the 20th day of October, 2005, by and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as TOWN) and: Cotton, Shires & Associates, Inc. 330 Village Lane Los Gatos, CA 95030 (408) 354-5542 (hereinafter referred to as CONSULTANT). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONSULTANT. Shall provide or furnish the following specified services and/or materials: Field Investigation, Geotechnical Analysis, Geotechnical Letter Report, and Engineering Design Review services for the Robleda Road Pathway Improvements Project as outlined in Exhibit 64A.55 2. EXHIBITS. The following attached exhibits hereby are made a part of this Agreement: Exhibit "A": Scope of Work, Schedule and Budget from CONSULTANT 3. TERMS. The services and/or materials furnished under this Agreement shall commence on October 24, 2005 and shall be completed in accordance with the schedule included in Exhibit "A." 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONSULTANT: Time and materials not to exceed $9,000.00 as further described in Exhibit "A". 5. GENERAL TERMS AND CONDITIONS. a. HOLD HARMLESS with respect to operations. CONSULTANT agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONSULTANT under this Agreement. Professional Services: As respects to the performance of Professional Services under this Agreement, CONSULTANT shall indemnify and hold harmless the TOWN, including officers, employees, agents, and employees from any and all claims, demands, costs including but not l'imi'ted to reasonable attorney.'.s fee and other costs of defense, or liability to the extent arising from or connected with the Services provided hereunder due to negligent act, errors, omissions or willful misconduct of the Consultant or anyone for whom CONSULTANT is legally responsible. b. INSURANCE. CONSULTANT shall file with the TOWN a certificate of insurance before commencing any services under this agreement meeting minimum coverage requirements established by TOWN's City Manager. c. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this agreement because of the race, color, national origin, age, ancestry, religion or sex of such person. d. INTEREST OF CONSULTANT. It is understood and agreed that this agreement is not a contract of employment in the sense that the relation of master and servant exists between the TOWN and undersigned. At all times CONSULTANT shall be deemed to be an independent CONSULTANT and CONSULTANT is not authorized to bind the TOWN to any contracts or other obligations. In executing this agreement, CONSULTANT certifies that no one who has or will have any financial interest under this agreement is an officer or employee of the TOWN. e. CHANGES. This agreement shall not be assigned or transferred without the written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. f. TERMINATION. This agreement may be terminated by the TOWN upon thirty (30) days written notice to CONSULTANT. CONSULTANT may terminate this agreement upon thirty (30) days written notice to the TOWN. Monies then owing based upon work satisfactorily accomplished shall be paid to CONSULTANT. 6. INVOICING. All invoices shall be mailed or delivered to the attention of the City Engineer (contract coordinator) at the address below. This Agreement shall become effective upon its approval and execution by TOWN. In witness whereof, the parties have executed this Agreement the day and year first written above. CONSULTING ENGINEERS AND GEOLOGISTS September 7, 2005 (Revised) P0485 TO: Mr. Henry Louie Director of Public Works/City Engineer TOWN OF LOS ALTOS HILLS 26379 Fremont Road Los Altos Hills, California 94022 SUBJECT: Revised Proposal for Geotechnical Investigation RE: Robleda Road Path Improvements, Los Altos Hills, California Dear Mr. Louie: We have been in comrnw-dcation ivith Dave Ross and Donald Toy of Mark Thomas & Company, who indicated that it would be appropriate to provide you with this proposal for professional services. This revised proposal reflects our recent discussion with Dave Ross and reduces our proposed scope of work to provide the most economic geotechnical investigation possible for this trail segment. We have cut our planned number of borings in half, and have eliminated graphical products from our proposed letter report (beyond a boring location map). The pathway improvement site (approximately 500 feet in length) is located along the northern side of Robleda Road and will require installation of some relatively long retaining walls. We propose to complete exploratory borings and soil laboratory testing as a basis for developing recommended geotechnical parameters for retaining wall design. We understand that the recommended geotechnical design parameters resulting from our proposed scope of work will be utilized by Mark Thomas & Company in the preparation of construction plans, specifications and bid documents. We understand that completion of local pathway improvements is a priority for the Town. 9 We have prepared a proposed scope of work and cost estimate for the development of recommended geotechnical design parameters for new retaining walls at the subject site. The purpose of our work will be to develop engineering design criteria parameters through laboratory testing and analysis; prepare a letter report with design recommendations; and review geotechnical aspects of draft construction documents. We are proposing the following Scope of Work, Schedule and Fee to perform the work. SCOPE OF WORK I. Field Investigation A. Field Mapping - An engineering geologic map of the trail alignment, focusing on the distribution of existing artificial fill materials and native earth materials, will be prepared by a Certified Engineering Geologist. We will utilize the previously prepared site topographic map. Engineering geologic cross sections will be prepared to illustrate the subsurface distribution of earth materials. B. Subsurface Investigation - Based on an inspection of site conditions, it is apparent that a small portable (minuteman) drill rig is necessary for the eastern portion of the pathway alignment. M. tV. September 7, 2005 P0485 trees, and areas of minimal road shoulder width. Approximately 3 exploratory borings will be advanced (depth range 15 to 20 feet) to characterize subsurface conditions. Subsurface material characterization will directly influence wall design criteria including pier lengths along wall alignments. Geotechnical Analysis A. Laboratory Testing - Representative samples from the field exploration program will be tested for index properties to provide retaining wall design criteria parameters. B. Geotechnical;_ Analysis - Based on the collected field. data, and laboratory test results, recommended retaining wall design criteria parameters will be formulated. Geotechnical Letter Report A. Preparation of Letter Report — Results of our Field Investigation and geotechnical design recommendations will be presented in a letter report. Recommended retaining wall design criteria (active and passive pressures, minimum pier depths and diameters, etc.) will be presented. Engineering Design Review A. Geotechnical Review of Drawings and Technical Specifications - We will review all geotechnical aspects of a draft set of plans and specifications to verify consistency with the intent of our geotechnical design recommendations. SCHEDULE We will schedule a drill rig for the projeof receipt of authorization to proceed. We will complete Tasks I through III -A (outlined above) in roughly 6 weeks or 4 weeks after completing subsurface investigation. FEE We propose to bill the Town for our services on a time -and -expenses basis in accordance with our standing agreement for public works projects with the Town of Los Altos Hills. We estimate the following fees for the corresponding tasks described above will be: Task I. Field Investigation II. Geotechnical Analysis Services III. Engineering Design Review ** **We have not provided you with a projected fee for Task IV, Engineering Design Review Services. Due to the variability of design, it is difficult to project an accurate cost estimate. Consequently we propose to invoice you on a time -and -expense basis in accordance with the attached Schedule of Charges for this task. A Senior Geotechnical Engineer will review the plans, provide consultation, and prepare the Design Review Letter(s) and a Principal Geotechnical Engineer will review and provide quality control. It is not unusual for a project of this size to require a budget of approximately $1,000 for these services. We. have not provided a detailed scope of work or fees for construction inspection and testing. Because of the limited subsurface exploration completed for this project, it will be important that representatives of our office monitor site grading and drilling activities to verify satisfactory embedment into bearing material. We will invoice you for Tasks I, II, and III on a monthly basis for a total not -to -exceed amount of $8,000. AGREEMENT If you agree with the Scope of Work, Schedule, and Fee outlined above, as well as the Schedule of Charges, Limitation and Terms on file with the Town as part of our existing contract, please sign one copy of this proposal and return it to our office. Receipt of the signed proposal will constitute authorization for us to proceed. We look forward to providing you with the professional services discussed above.
