HomeMy WebLinkAboutPurissima Hills Water District (6)RESOLUTION NO. 19-00 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AND AUTHORIZING EXECUTION OF FIRST AMENDMENT TO LEASE BETWEEN THE TOWN OF LOS ALTOS HILLS AND THE PURISSIMA HILLS WATER DISTRICT WHEREAS, the City Council of the Town of Los Altos Hills has read and considered that certain First Amendment to Lease ("Agreement") between the Town and the Purissima Hills Water District. NOW, THEREFORE, the City Council of the Town does RESOLVE as follows: 1. Public interest and convenience require the Town of Los Altos Hills to enter into the Amendment described above. 2. The Town of Los Altos Hills hereby approves the Amendment and the Mayor is hereby authorized on behalf of the Town to execute the Amendment between the Town of Los Altos Hills and the Purissima Hills Water District, PASSED AND ADOPTED this 16th day of March ATTEST: RI City Clerk 9nnn N:\DATA\Clients\t.\LAH\projects\phwd\ExecAgr. RUT FIRST AMENDMENT TO LEASE BETWEEN THE TOWN OF LOS ALTOS HILLS AND THE PURISSIMA HILLS WATER DISTRICT RECITALS A. This Amendment is made as of March 16 , 2000, by and between the TOWN OF LOS ALTOS HILLS ("Town") and the PURISSIMA HILLS WATER DISTRICT ("District"). B. The parties hereto desire to amend Paragraphs 2 and 3.a.(1) of the Lease ("Lease") entered into between them on April 1, 1997. AMENDMENT Paragraph 2. of the Lease is hereby amended to read as follows: Term of Lease: Renewal Terms. The Term of this Lease is five (5) years beginning April 1, 2000, and ending at 11:59 p.m., on March 31, 2005 ("Term"), with automatic five year renewal terms ("Renewal Terms"), unless otherwise terminated by one or both parties upon written notice, as follows: The District shall have the right to terminate this Lease at any time prior to the expiration of the Term or any Renewal Term upon one (1) year's written notice to the Town. The Town shall have the right to terminate this. Lease at any time prior to the expiration of the Term or any Renewal Term upon two (2) years written notice to the District. 2. Paragraph 3.a.(1) of the Lease is amended to read as follows: (1) Pay to Town as rent in advance on the first day of each calendar month of the Term of this Lease, without deduction, offset, prior notice or demand the sum of Five Hundred Dollars ($500) ("Base Rent") in lawful money of the United States, which Base Rent shall increase each year to a new Base Rent on July 1 St, by a cost of living adjustment based upon the latest U.S. Department of Labor 12 -month average San Francisco - Oakland -San Jose CPI information available on June 1St of each year of the Lease. The Town has the option to raise the Base Rent no earlier than ninety (90) days and no later than sixty (60) days prior to the expiration of the Term or any Renewal Term upon written notice to the District. Any increase in the Base Rent shall be effective one (1) year after the District's receipt of the written notice from the Town. 3. The remainder of the Lease shall remain unamended and in full force and effect. IN WITNESS WHEREOF, the parties have executed this Agreement as of the day and year first written above.
