HILLS AND EIDE BAILLY, LLP FOR ACCOUNTING ASSISTANCE FOR FISCAL
YEAR ENDING JUNE 30, 2024
THIS FIRST AMENDMENT ("Amendment") is made and entered into on this 28`' day of
September 2023, by and between the Town of Los Altos Hills ("Town") and Eide Bailly, LLP
("Contractor"). Town and Contractor are sometimes collectively referred to as "Parties" hereinafter.
RECITALS
WHEREAS, the Town and Contractor previously entered into an agreement for accounting
assistance dated August 7, 2023; and
WHEREAS, the initial agreement had a not to exceed limit of Sixty Thousand dollars and no
cents ($60,000.00) and consisted of the accounting services such as, but not limited to, bi-weekly
payroll, accounts payable, accounts receivable, and yearend audit paperwork; and
WHEREAS, the Town is now interested in extending the use of the Contractor to help
bridge the gap in staff while recruitment is underway; and
WHEREAS, to account for extending the contract, the not to exceed limit of the agreement
shall be increased to One Hundred Thousand dollars and no cents ($120,000.00); and
WHEREAS, the Parties desires to amend the Agreement as described herein.
NOW, THEREFORE, in consideration of this First Amendment, the mutual promises,
covenants, and stipulations herein contained, the parties hereto agree to amend the Agreement as
follows:
1. Amendments to Agreement. The following portions and sections of the Agreement,
as amended, are hereby amended as follows, with additions in bold italics and deletions in
:
a. Amendments to Section 4.a.
TOWN shall pay CONTRACTOR an amount not to exceed Sixty
dollars and no eents ($ 60,000. 00) One Hundred Twenty Thousand dollars
and no cents ($120,000.00) within thirty (30) days following receipt of invoice
and completion/ delivery of services/ goods as detailed in Sections 1, 2, and 3 of
this Agreement and only upon satisfactory delivery/completion of goods/services
in a manner consistent with professional/ industry standards for the area in which
CONTRACTOR operates. TOWN is not responsible for paying for any work
done by CONTRACTOR or any subcontractor above and beyond the not to
exceed amount.
