THIS AGREEMENT is made and entered into on the 600 day of October, 2023 by and
between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as "TOWN") and
Matrix Consulting Group, Ltd. (hereinafter referred to as "CONTRACTOR"). In
consideration of their mutual covenants, the parties hereto agree as follows:
1. CONTRACTOR. Shall provide or furnish the following specified services and/or
materials:

2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a
part of this Agreement:

3. TERMS. The .services and/or materials furnished under this Agreement shall
commence November 1, 2023 and shall be completed by June 30, 2024, unless
terminated pursuant to Section 5(f).
4. COMPENSATION. For the full performance of this Agreement:
a. TOWN shall pay CONTRACTOR an amount not to exceed Nineteen Thousand
Five Hundred dollars and zero cents ($19,500.00) within thirty (30) days following
receipt of invoice and completion/delivery of services/goods as detailed in Sections
1, 2, and 3 of this Agreement and only upon satisfactory delivery/completion of
goods/services in a manner consistent with professional/industry standards for the
area in which CONTRACTOR operates. TOWN is not responsible for paying for
any work done by CONTRACTOR or any subcontractor above and beyond the not
to exceed amount.
b. Town shall not reimburse for any of CONTRACTOR's costs or expenses to deliver
any services/goods. Town shall not be responsible for any interest or late charges
on any payments from Town to CONTRACTOR.
c. CONTRACTOR is responsible for monitoring its own forces/employees/agents/
subcontractors to ensure delivery of goods/services within the terms of this
Agreement. TOWN will not accept or compensate CONTRACTOR for incomplete
goods/services.

5. GENERAL TERMS AND CONDITIONS.
a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold
harmless the TOWN, its officers, agents and employees from any and all demands,
claims or liability of personal injury (including death) and property damage of any
nature, caused by or arising out of the performance of CONTRACTOR under this
Agreement. With regard to CONTRACTOR'S work product, CONTRACTOR
agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and
employees from any and all demands, claims or liability of any nature to the extent
caused by the negligent performance of CONTRACTOR under this Agreement.
b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance
before commencing any services under this Agreement as follows:
WORKERS COMPENSATION INSURANCE: Minimum statutory limits.
COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE
INSURANCE: General Liability and Property Damage Combined.
$1,000,000.00 per occurrence including comprehensive form, personal
injury, broad form personal damage, contractual and
premises/operation, all on an occurrence basis. If an aggregate limit
exists, it shall apply separately or be no less than two (2) times the
occurrence limit.
iii. AUTOMOBILE INSURANCE: $1,000,000.00 per occurrence.
iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate.
v. NOTICE OF CANCELLATION: The City requires 30 days written notice
of cancellation. Additionally, the notice statement on the certificate
should not include the wording "endeavor to" or "but failure to mail such
notice shall impose no obligation or liability of any kind upon the
company, its agents or representatives."
vi. CERTIFICATE OF INSURANCE: Prior to commencement of services,
evidence of insurance coverage must be shown by a properly executed
certificate of insurance and it shall name "The Town of Los Altos Hills,
its elective and appointed officers, employees, and volunteers" as
additional insureds.
vii. To prevent delay and ensure compliance with this Agreement, the
insurance certificates and endorsements must be submitted to:

c. NON-DISCRIMINATION. No discrimination shall be made in the employment of
persons under this Agreement because of the race, color, national origin, age,
ancestry, religion or sex of such person.
d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement
is not a contract of employment and does not create an employer-employee
relationship between the TOWN and CONTRACTOR. At all times
CONTRACTOR shall be an independent contractor and CONTRACTOR is not
authorized to bind the TOWN to any contracts or other obligations without the
express written consent of the TOWN. In executing this Agreement,
CONTRACTOR certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of TOWN.
e. CHANGES. This Agreement shall not be assigned or transferred without advance
written consent of the TOWN. No changes or variations of any kind are authorized
without the written consent of the City Manager. This Agreement may only be
amended by a written instrument signed by both parties.
TERMINATION. This Agreement may be terminated by TOWN upon seven (7)
days written notice to CONTRACTOR. Monies owed for work satisfactorily
completed shall be paid to CONTRACTOR within 14 days of termination.
g. RECORDS. All reports, data, maps, models, charts, studies, surveys,
calculations, photographs, memoranda, plans, studies, specifications, records,
files, or any other documents or materials, in electronic or any other form, that are
prepared or obtained pursuant to this Agreement and that relate to the matters
covered hereunder shall be the property of the TOWN. CONTRACTOR hereby
agrees to deliver those documents to the TOWN at any time upon demand of the
TOWN. It is understood and agreed that the documents and other materials,
including but not limited to those described above, prepared pursuant to this
Agreement are prepared specifically for the TOWN and are not necessarily
suitable for any future or other use. Failure by CONTRACTOR to deliver these
documents to the TOWN within a reasonable time period or as specified by the
TOWN shall be a material breach of this Agreement. TOWN and CONTRACTOR
agree that until final approval by TOWN, all data, plans, specifications, reports and
other documents are preliminary drafts not kept by the TOWN in the ordinary
course of business and will not be disclosed to third parties without prior written
consent of both parties. All work products submitted to the TOWN pursuant to this
Agreement shall be deemed a "work for hire." Upon submission of any work for
hire pursuant to this Agreement, and acceptance by the TOWN as complete, non-
exclusive title to copyright of said work for hire shall transfer to the TOWN. The
compensation recited in Section 4 shall be deemed to be sufficient consideration

for said transfer of copyright. CONTRACTOR retains the right to use any project
records, documents and materials for marketing of their professional services.
h. CONTRACT ADMINISTRATION. The TOWN hereby designates [insert applicable
staff title] and the City Manager as Contract Administrator for this agreement. The
CONTRACTOR shall only take direction regarding the services provided underthis
Agreement from the Contract Administrator. Furthermore, CONTRACTOR agrees
that the Contract Administrator shall be included any meeting, teleconference or
written communication between any Town representative including Committee
members and the CONTRACTOR. The TOWN may modify the Contract
Administrator at any time upon providing written notice to the CONTRACTOR.
i. ENTIRE AGREEMENT. This Agreement represents the entire agreement
between the Parties. Any ambiguities or disputed terms between this Agreement
and any attached Exhibits shall be interpreted according to the language in this
Agreement and not the Exhibits.
6. INVOICING. Send all invoices to the contract coordinator at the address below.
This Agreement shall become effective upon its approval and execution by TOWN. In
witness whereof, the parties have executed this Agreement the day and year first written
above.

The Matrix Consulting Group is pleased to have this opportunity to submit a proposal to conduct
a Pathway Nexus Study for the Town of Los Altos Hills. Our firm stands apart from other firms

• Experience in nexus and user fee analyses: Our firm and consulting team have conducted
numerous impact fee and user fee studies for municipalities over the last 20 years across
the United States, with recent California clients including: Los Altos, Manhattan Beach,
Orange, South San Francisco, and San Mateo.

and User Fee Study for Los Altos Hills, as well as worked with the Town on the previous
Pathway impact fee analysis.

current service assumptions based ori information provided by staff, vetting data to
ensure accurate representations of support services.

1 Understanding Scope of Services
The Town of Los Altos Hills is seeking a nexus study of Pathway Fees required for
residential development projects, as current fees are not providing ample funding of new
pathways construction.
The Matrix Consulting Group works with a wide variety of clients ranging from small
towns to major metropolitan cities in over 45 states across the U.S. and in Canada. Every

Introduction to the Matrix Consulting Group
The Matrix Consulting Group specializes in providing analytical services to local
governments to assist them in providing highly responsive, efficient, and effective
services to their residents. Our firm's history and composition are summarized below:
• Since our founding in 2002, we have worked with over 1,600 government agencies,
conducting cost of service and management studies providing recommendations
relating to operations, improvements, and cost recovery.
• Incorporated in California, with headquarters in San Mateo, and offices in 11 other
states, we now have 27 full-time and seven part-time time highly experienced
management consultants who specialize in the analysis of local government
functions encompassing the entire spectrum of critical operational areas.
• The market and service focus of the Matrix Consulting Group has always been
financial, management, staffing and operations analysis of local government. The

Impact Fee Study Experience
The Matrix Consulting Group has experience conducting a variety of cost of service and
nexus -based analyses. The primary focus of an Impact Fee Study is to ensure that there
is a nexus between the fee being assessed and the impact being observed. Additionally,
the fee must comply with AB1600, the Mitigation Fee Act, and the newly enacted AB602.
The following points highlight some of our key qualifications in Impact Fee studies:
AB 1600 / AB 602 Technical Expertise: The proposed project team has received
training from Government Finance Officers Association (GFOA) as it relates to
Best Management Practices for Development Impact Fees. Additionally, the

project team has conducted police, fire, public works, parks, libraries, and
community center specific and citywide comprehensive Impact Fee studies to
ensure compliance with A131 600 and now AB602 requirements.
Industry Standards: The Matrix Consulting Group is aware of the industry
standards as it relates to development and implementation of impact fees,
including the creation of two separate fee components (cost + admin) as well as
utilization of different cost factors (sq. ft. vs. equivalent dwelling units).
Policy Development and Reporting Requirements: The project team has worked
with clients to develop specific policies as it relates to Development Impact Fees
including the option to annually update the fees utilizing the Construction Cost
Index (CCI). These policies also include the reporting requirements relating to
collection of impact fees in a separate fund and disbursements of these funds.
As the points above highlight, the Matrix Consulting Group is very familiar with public
sector and local government impact fee programs. Our familiarity ranges from
conducting the cost analysis to developing and evaluating the policies and procedures

4 Work Plan and Schedul.-.
The Town of Los Altos is interested in updating its Pathway Impact Fee to ensure that
new development is paying for the current cost of construction of trails and pathways
within the community. The nexus analysis must be in compliance with ABI 600 and
AB602. The purpose of this analysis is to review growth projections and pathway needs
and determine the appropriate nexus for the in -lieu fee. The following tasks outline our
detailed approach to completing the Town's requested scope of services:
Task 1 1 Data Collection
Prior to any initial meetings, the Matrix Consulting Group will provide the Town with a list
of initial data requirements for the study including information such as the current
network of pathways, current cost estimates of pathways, and revenue collected by the
pathways fee. The provision of these items will allow our project team to familiarize
themselves with the Town's structure and its current cost allocation plans and practices.
Task 2 I Study Objectives and Project Schedule
Once the data has been collected, the project team will then meet with designated Town
staff to discuss any issues identified by the project team, as well as to clarify any existing
issues or concerns held by the Town regarding the current cost allocation plan or user
fee study methodology. Discussions will include:
• Review of the Town's specific needs and critical issues surrounding development
and implementation of the pathway impact fee study.
• Opportunities for improvement and restructuring of previous impact fee
methodology.
• Discussion of cost recovery goals and targets for the impact fee analysis.
At the culmination of the meeting, the project team and the designated Town staff will
leave with a greater understanding of the overall approach and methodology that will be
taken by the project team to conduct the study for the Town.

Task 3 Assess Current Pathway Infrastructure
The purpose of this task will to be to develop a detailed understanding of the current
organization and layout of the Town's pathways, including the adopted Master Path map.
The information from the Map would be used to determine if the proposed map is still
appropriate given current development impact or if there is the need for additional
pathways not reflected on the map based upon the Town Pathways Committee
recommendation or City Council priorities.
Task 4 1 Projected Population Growth
The key component of any Pathway fee analysis is determining the proportionality and
nexus that exists based upon projected development. During this task, the project team
will conduct research based upon regional forecasted growth as well as internal Town
staff (Public Works and Planning staff) expected growth to determine future population
projection.
In addition to population projections, other elements of data such as number of potential
parcels, build out area, and other information will be requested to help develop options
for pathway fee calculations.
Pathway fees cannot be used to enhance existing service levels. Fees may only be used
to maintain current service levels. During this task, the project team will ensure that for
defensibility purposes any new pathways identified are directly correlated to population
increases.
Task 5 I Draft Pathway Fee Analysis
Utilizing the data collected in the previous two tasks, the project team would calculate
the full cost of the impact fee. This would include the cost of Pathway infrastructure, its
proportionate relation to new development, any administrative overhead, and the
appropriate mechanism (i.e., per square foot or dwelling unit) upon which it would be
assessed.
During this phase of the project, the project team will develop scenarios regarding the
basis for which pathway fees may be assessed. These scenarios will include population

projection as well as expected development (single family and multi -family) as well as
expected pathway needs.
The project team will meet with Town staff to review these draft impact fees based upon
land use type.
Task 6 1 Comparative Pathway or Similar Impact Fee Survey
Utilizing the comparative jurisdictions identified by the Town, the project team will
conduct a comparison of the full cost of Pathway Impact Fee or similar type of Impact
Fees to other surrounding jurisdictions. This comparison will be conducted based upon
construction project types, (e.g., new single family home, etc.) to provide Town staff with
a clearer comparison of the impact of the fee upon future development.
Task 7 1 Draft Pathway Fee Report
The draft fee results and comparative survey will be incorporated into a draft Pathway
fee report. The draft fee report will have the following components:
Executive Summary: Providing a brief overview of the background of the scope,
the overall methodology, the results of the analysis, and the implementation
guidelines (including future fee increases).
Legal Framework: This will outline the current legal requirements for Pathway
fees, and how the proposed fee will meet these requirements.
Growth Projections: This section of the report outlines the growth projections.
• Pathway Fee Analysis: This section demonstrates the calculation used to derive
the full cost of the fees, as well as the recommended fees by the Town.
Comparative Survey: This section outlines how the Town's calculated and
recommended fees compare to other jurisdictions.
These components will result in a consolidated draft report that will be distributed Town
staff for review. It will be required to be reviewed by all the different departments to
ensure that assumptions are presented accurately.

Task 8 1 Final Report
Based upon Town staff comments, the project team will revise the Final Report to ensure
all comments and concerns are captured. This final report will serve as the basis for
presentations to internal and external stakeholders.
Task 9 1 Delivery of Pathway Fee Backup Documentation
Unlike other cost of services analyses, the components of a Pathway fee should not be
updated annually, as it is primarily based upon population projections and timeframes
associated with replacement of existing facility and equipment inventory and / or
acquiring new facilities or inventory.
When discussing the draft fee results with Town staff, the project team will share the
initial Excel workbook showing calculations, and at the conclusion of the study, the
project team will provide the Town with the backup workbook showing all calculations. In
this workbook, the project team would also set up a template allowing the Town to update
its Pathway fees based upon a cost factor. The industry standard for updating impact
fees is based upon the construction cost index (CCI). This standard is used as the costs
for impact fees are based upon infrastructure rather than labor or material costs.
Task 10 1 Present the Final Report to Key Stakeholders
The presentation of results to Town officials and/or stakeholders is critical to the success
of the overall engagement. Because the product from the study is often controversial, the
objective of this final step is to present a succinct summary that provides decision
makers with key information. The Matrix Consulting Group will attend and present the
Study at up to three (3) Pathway Committee, Planning Commission and / or Council
Meetings, including any fee adoption hearings. We believe that these number of meetings
is typically sufficient to ensure that there is buy -in from the stakeholders.

Task 11 1 Implementation and Future Support
The Matrix Consulting Group is committed to helping our clients not only develop
accurate and defensible cost plans, user, and Pathway fees, but helping ensure that they
are able to implement the results of the study appropriately. Our project team will work
with Town staff to facilitate an understanding of the results of each study, and how to
incorporate those results into budget documents, fee schedules, and other Town
materials.
Our client support does not stop once final reports have been issued or models delivered.
We understand that questions can arise about the development of a study well after
project completion and are committed to working with our clients to answer any
questions about methodologies and applications of results. Furthermore, we are
accessible to our clients to answer technical questions about updating models, providing
guidance on the use of alternative allocation metrics, and development of new user or
impact fees. This support is provided to our clients at no extra cost.
Project Schedule
This project is anticipated to take approximately 16 weeks (4 months) to complete. For
each task referenced in the Town's scope of work, we have identified the time frame
during the six-month period in which the evaluation will be completed.
