THIS AMENDMENT NO. 1 TO THE SERVICES AGREEMENT is made at Los Altos Hills, California, as of Jq 9(,, , 2025, by and between THE TOWN OF LOS ALTOS HILLS ("Town'), a municipal corporation, and S. R. Rose Engineering, Inc. ("Consultant"), (sometimes referred together as the "Parties") who agree as follows: RECITALS A. On May 29, 2024, Town and Consultant entered that certain Services Agreement ("Agreement") whereby Consultant agreed to provide project management services for the El Monte Fire Station Utility Undergrounding (Rule 20A) Project for the Town. A true and correct copy of the Agreement and its exhibits are attached as Attachment A. B. Town and Consultant now desire to amend the Agreement. NOW, THEREFORE, for and in consideration of the promises and other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged, Town and Consultant hereby agree as follows: 1. All terms which are defined in the Agreement shall have the same meaning when used in this Amendment, unless specifically provided herein to the contrary. 2. Section 2. EXHIBITS of the Agreement shall now include the Proposal for Additional PM Services for the El Monte Fire Station Rule 20A UUD Project dated June 16, 2025, from Consultant (Exhibit A). 3. Section 4. COMPENSATION shall now also include the compensation for the Additional PM Services as specified in Exhibit A not to exceed $10,000 for a total Agreement amount of $60,000. f All other terms, conditions and provisions in the Agreement remain in full force and effect. If there is a conflict between the terms of this Amendment and the Agreement, the terms of the Agreement will control unless specifically modified by this Amendment. Rose Engineering Inc. (SREI) has been providing project management services for the Town of Los Altos Hills' EI Monte Fire Station Rule 20A Utility Undergrounding Project since June 2025 under an agreement between SREI and the Town. The not to exceed budget in the agreement is $50,000. The services provided for the project are outlined in my May 12, 2024 proposal included in the agreement. As described in the proposal, the original NTE budget assumed a 10 -month project duration. The project is now in its 12th month and is anticipated to continue until Fall/Winter 2025 after the completion of Comcast's and AT&T's work, followed by final paving and closeout by Phoenix. As of June 8, 2025, my budget is now 93% expended with $3,390.14 remaining. The remaining amount is anticipated to be fully expended by June/July, based on my current and projected activity level. In order to continue working on the project, I am hereby requesting an additional $10,000 budget allocation via contract amendment to be expended on a time and materials basis. Rose Engineering, Inc. (hereinafter referred to as "CONTRACTOR"). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONTRACTOR. Shall provide or furnish the following specified services and/or materials: Project management services for the EI Monte Fire Station Utility Undergrounding (Rule 20A) Project 2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a part of this Agreement: Proposal from CONTRACTOR dated May 12, 2024. 3. TERMS. The services and/or materials furnished under this Agreement shall commence May 2L- , 2024, and shall be completed by June 30, 2026 or by completion of the Town's Rule 20A project, unless terminated pursuant to Section 5(f). 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONTRACTOR an amount not to exceed Fifty Thousand dollars and zero cents ($50,000.00) within thirty (30) days following receipt of invoice and completion/delivery of services/goods as detailed in Sections 1, 2, and 3 of this Agreement and only upon satisfactory delivery/completion of goods/services in a manner consistent with professional/industry standards for the area in which CONTRACTOR operates. TOWN is not responsible for paying for any work done by CONTRACTOR or any subcontractor above and beyond the not to exceed amount. b. Town shall not reimburse for any of CONTRACTOR's costs or expenses to deliver any services/goods. Town shall not be responsible for any interest or late charges on any payments from Town to CONTRACTOR. c. CONTRACTOR is responsible for monitoring its own forces/employees/agents/ subcontractors to ensure delivery of goods/services within the terms of this Agreement. TOWN will not accept or compensate CONTRACTOR for incomplete goods/services. Town of Los Altos Hills Page 1 of 5 Short form Updated 42622 5. GENERAL TERMS AND CONDITIONS,. a. HOLD HARMLESS. CONTRACTOR- agrees to indemnify, defend -and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONTRACTOR under this Agreement. With regard to CONTRACTOR'S work product, CONTRACTOR agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of any nature to the extent caused by the negligent performance of CONTRACTOR under this Agreement. b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance before commencing any services under this Agreement as follows: i. WORKERS COMPENSATION INSURANCE: Minimum statutory limits. COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE INSURANCE: General Liability and Property Damage Combined. $1,000,000.00 per occurrence including comprehensive form, personal injury, broad form personal damage, contractual and premises/operation, all on an occurrence basis. If an aggregate limit exists, it shall apply separately or be no less than two (2) times the occurrence limit. iii. AUTOMOBILE INSURANCE: $1,000,000.00 per occurrence. iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate. v. NOTICE OF CANCELLATION: The City requires 30 days written notice of cancellation. Additionally, the notice statement on the certificate should not include the wording "endeavor to" or "but failure to mail such notice shall impose no obligation or liability of any kind upon the company, its agents or representatives." A. CERTIFICATE OF INSURANCE: Prior to commencement of services, evidence of insurance coverage must be shown by a properly executed certificate of insurance and it shall name "The Town of Los Altos Hills, its elective and appointed officers, employees, and volunteers" as additional insureds. vii. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, age, ancestry., religion or sex of such person, d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement is not a contract of employment and does not create an employer-employee relationship between the TOWN and CONTRACTOR. At all times CONTRACTOR shall be an independent contractor and CONTRACTOR is not authorized to bind the TOWN to any contracts or other obligations without the express written consent of the TOWN. In executing this Agreement, CONTRACTOR certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of TOWN. e. CHANGES. This Agreement shall not be assigned or transferred without advance written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. This Agreement may only be amended by a written instrument signed by both parties. f. TERMINATION. This Agreement may be terminated by TOWN upon seven (7) days written notice to CONTRACTOR. Monies owed for work satisfactorily completed shall be paid to CONTRACTOR within 14 days of termination. g, RECORDS. All reports, data, maps, models, charts, studies, surveys, calculationsf -photographs, memoranda, plans, studies, specifications, records -1 files, or any other documents or materials, in electronic or any other form, that are prepared or obtained pursuant to this Agreement and that relate to the matters covered hereunder shall be the property of the TOWN. CONTRACTOR hereby agrees to deliver those documents to the TOWN at any time upon demand of the TOWN. It is understood and agreed that the documents and other materials, including but not limited to those described above, prepared pursuant to this Agreement are prepared specifically for the TOWN and are not necessarily suitable for any future or other use. Failure by CONTRACTOR to deliver these documents to the TOWN within a reasonable time period or as specified by the TOWN shall be a material breach of this Agreement. TOWN and CONTRACTOR agree that until final approval by TOWN, all data, plans, specifications, reports and other documents are preliminary drafts not kept by the TOWN in the ordinary course of business and will not be disclosed to third parties without prior written consent of both parties. All work products submitted to the TOWN pursuant to this Agreement shall be deemed a "work for hire." Upon submission of any work for hire pursuant to this Agreement, and acceptance by the TOWN as complete, non- exclusive title to copyright of said work for hire shall transfer to the TOWN. CONTRACTOR retains the right to use any project records, documents and materials for marketing of their professional services. CONTRACT ADMINISTRATION. The TOWN hereby designates [insert applicable staff title] and the City Manager as Contract Administrator for this agreement. The CONTRACTOR shall only take direction regarding the services provided under this Agreement from the Contract Administrator. Furthermore, CONTRACTOR agrees that the Contract Administrator shall be included any meeting, teleconference or written communication between any Town representative including Committee members and the CONTRACTOR. The TOWN may modify the Contract Administrator at any time upon providing written notice to the CONTRACTOR. ENTIRE AGREEMENT. This Agreement represents the entire agreement between the Parties. Any ambiguities or disputed terms between this Agreement and any attached Exhibits shall be interpreted according to the language in this Agreement and not the Exhibits. 6. INVOICING. Send all invoices to the contract coordinator at the address below. This Agreement shall become effective upon its approval and execution by TOWN. If you receive the documents, please forward everything to finance. Public Works Proiects: The California Labor Code beginning at section 1720 deals with this issue. Labor Code sections 1720 and 1771 define public works as work done under contract and paid for in whole or in part out of public funds that involves one or more of the following: Construction; Alteration, Demolition, Installation; Repair/ Maintenance work. Submit a request for quotations to the Town's authorized vendor list for the services requested. (SREI) is thankful for the opportunity to submit this proposal to the Town of Los Altos Hills (Town) for Project Management Services for the Town's EI Monte Fire Station Rule 20A Utility Undergrounding Project. SREI is a small civil engineering consulting firm founded in 2023 that is focused on serving local governmental agencies. We provide project management and civil engineering consulting services in all phases of project development on a variety of project types. Our firm's Principal, Sean Rose, has over 27 years of experience delivering public infrastructure projects for Bay Area agencies. The Town is requesting project management for the undergrounding project to include management of the Town's Construction Management contract with Bellecci and Associates (Bellecci), and general oversight of the Rule 20A contractor. The scope of work includes, but is not limited to, the following : • Project Management of the EI Monte Fire Station Utility Undergrounding Project, staying on top of the schedule and budget and meeting the expectations of the Town. • Assist Town staff to manage the contracted work with Bellecci and provide them support as needed. • Oversee the work of the contractor, working with Bellecci. • Evaluate construction bids and negotiate change orders on behalf of the Town. • Help review documents and submittals for final sign off by the Town. Ensure project documents are organized and placed in the project folder on Town server. • Periodic updates to the City Council and advisory bodies. • Work with Bellecci to submit regular invoices to the utility companies for reimbursement. • Work with Bellecci to address any concerns or questions from the community. ❑❑ SR ROSE May 12, 2024 Page 1 of 2 ❑ 1771 Engineering Proposal for Project Management Services S.R. ROSE ENGINEERING INC. for the EI Monte Fire Station Utility Undergrounding Project • Oversee the full conversion of overhead facilities to underground, working with Bellecci. • Start planning for the next phase of Rule 20A project to spend down the Town's remaining Rule 20A credits. Rule 20A credits expire 2033. The services for this engagement will be provided by Sean Rose. Sean's resume is provided in Attachment 1. Sean personally managed the City of Mountain View Rengstorff Avenue Rule 20A Underground Utility District No. 36 Project through design and construction. The project undergrounded all electric distribution and communications lines on Rengstorff Avenue from Old Middlefield Way to Highway 101. The services will be provided on a time and materials, not to exceed basis, based on a negotiated hourly rate of $200 for this particular project. Assuming a 10 -month project duration, based on the 120 -working day construction contract, we are proposing a $50,000 not -to -exceed budget which would provide 247 hours. A breakdown of the anticipated effort and fee is provided below.
