AMENDMENT NO. 1
Multifamily Zones, Objective Design Standards, PEIR
PLUS
New Land Use Element Amendment, Housing Element Amendment and Other Services
This Amendment No. 1 to the Consulting Services Agreement (Agreement) made
effective April 1, 2025 ("Effective Date") is entered into between the Town of Los Altos Hills
("Town") and Michael Baker International, Inc. ("Consultant") (together referred to as the
"Parties."
Recitals
A. On March 16, 2023, the City Council approved a Consulting Services Agreement with
Michael Baker International ("Consultant") for preparation of new Multifamily Zones,
Objective Design Standards and preparation of a Programmatic EIR (PEIR) to
implement the May 2023 Housing Element Update; and
B. The scope of work was for costs not to exceed $601,620; and
C. The Parties seek to amend the Agreement as set forth in this Amendment; and
D. The additional work effort justification and work cost is summarized in the Scope of
Services below; and
Scope of Services
E. The Town of Los Altos Hills has requested additional services beyond the scope of
services in the original scope of work and contract including:
1. Additional meetings including meeting preparation efforts including review and
preparation of new reports, correspondence, presentations and other supporting
materials and internal calls, coordination and meetings.
2. Water Supply Assessment for Purisima Hills Water District (covering the Twin
Oaks and Foothill College sites) in support of the PEIR.
3. Amendments to the Land Use Element to establish the proposed Multifamily
Zones vision, goals, rationale and essential parameters of use, density, units,
building types.
4. Preparation of technical amendments to the May 2023 Housing Element Update
to reflect adjustments to the details of the proposed Multifamily Zones including a
reduction in the area of the zone for the Twin Oaks site from 14.5 to
approximately 4 acres, and a reduction in the maximum density to 24 dwelling
units per acre.

5. Preparation, evaluation, and development of alternative Twin Oaks development
scenarios, alternative zoning and objective design approaches and development
standards, possible Development Agreement/Key Terms Agreement review,
coordination and associated calls, meetings, analysis and responses to
correspondence, concepts and plans.
6. Additional Objective Design Standards beyond essentials to implement the May
2023 Housing Element (e.g., steep slopes protection, building size, massing,
location, orientation, buffer screening) such as light wells, skylights, windows,
decks, fencing and lighting, and additional graphics and explanatory exhibits.
7. Extra coordination and preparation of Final EIR responses to an anticipated
increased number of public review comments on the Draft PEIR.
8. Engage the services of Veronica Tam & Associates - strategic advisor, liaison
with HCD, attendance and support to Ad Hoc, Planning Commission, Town
Council and staff meetings associated with amendments to the Housing Element
and alternative zoning approach.
9. Engage the services of Citythinkers for additional architectural, urban design,
land development concept, or graphical support of zoning amendments and
objective design guidelines.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows:
1. Terms of Amendment. Section 2 shall be amended to increase the compensation from
$601,620 to $857,620 (an additional $256,000). New tasks shall be invoiced on a time and
materials basis. Consultant shall not exceed the budget without prior authorization from Town.
2. Incorporation by Reference. This Amendment incorporates by reference all terms and
exhibits set forth in the Agreement, unless specifically modified by this Amendment.
3. Effect of Amendment. This Amendment represents the complete and entire agreement
and understanding between the parties and supersedes any prior agreement and understanding
(written or oral) concerning the subject matter contained herein. Except as expressly modified by
this Amendment, all provisions of the Agreement will remain unchanged and in full force and
effect. The parties hereto acknowledge and agree that the recitals set forth are true and correct,
and are incorporated into this Amendment. This Amendment will not be binding until fully
executed by the parties.
4. Signatures. This Amendment may be executed in any number of counterparts and by
electronic means, each of which shall be deemed to be an original and all of which taken
together shall constitute one instrument. The individuals executing this Amendment represent
and warrant that they have the right, power, legal capacity and authority to enter into and to
execute this Amendment. This Amendment shall inure to the benefit of and be binding upon the
parties and their respective successors and assigns.

IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of
the Effective Date.
