THIS AMENDMENT NO. 1 TO THE SERVICES AGREEMENT is made at Los Altos Hills, California, as of August J� 2025, by and between THE TOWN OF LOS ALTOS HILLS ("Town"), a municipal corporation, and (SABRO COMMMCATIONS, INC.) ("Contractor"), (sometimes referred together as the "Parties") who agree as follows: RECITALS A. On July 22, 2025, Town and Contractor entered that certain Services Agreement ("Agreement") whereby Contractor agreed to provide audit services to the Town. A true and correct copy of the Agreement and its exhibits is attached as Exhibit A. B. Town and Contractor now desire to amend the Agreement. NOW, THEREFORE, for and in consideration ofthe promises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Town and Contractor hereby agree as follows: 1. All terms which are defined in the Agreement shall have the same meaning when used in this Amendment, unless specifically provided herein to the contrary. 2. Extension of Contract Term. The term of services identified in Section 3 of the Agreement is hereby modified as follows: The Agreement shall be terminated with the completion of SCOPE OF WORK for the Town's fiscal year ending June 30, 2026. 3. Compensation. The, compensation specified in Section 4(a) of the Agreement is hereby modified as follows: In accordance with the amount stated in the Contractor's proposal dated August 7, 2025, Town shall pay Contractor a not -to -exceed total amount of $13,750 according to the attached fee schedule, subject to any discount outlined in the, Contractor's annual engagement letter. All other terms, conditions and provisions in the Agreement remain in full force and effect. If there is a conflict between the terms of this Amendment and the Agreement, the terms of the Agreement will control unless specifically modified by this Amendment. Shall provide or furnish the following specified services and/or materials: Work described in Quotation Number 6115-R2 dated 5/14/2025. 2. EXHIBITS. The following attached exhibits are hereby/ incorporated into and made a part of this Agreement: Proposal from CONTRACTOR dated 5/14/2025. 3. TERMS. The services and/or materials furnished under this Agreement shall commence July 14, 2025 and shall be completed by December 31, 2025, unless terminated pursuant to Section 5(f). 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONTRACTOR an amount not to exceed twelve thousand dollars four hundred and zero cents ($12,400) within thirty (30) days following receipt of invoice and completion/delivery of services/goods as detailed in Sections 1, 2, and 3 of this Agreement and only upon satisfactory delivery/compietion of goods/services in a manner consistent with professional/industry standards for the area in which CONTRACTOR operates. The TOWN hereby designates [insert applicable staff title] and the City Manager as Contract Administrator for this agreement. The CONTRACTOR shall only take direction regarding the services provided under this Agreement from the Contract Administrator. Furthermore, CONTRACTOR agrees that the Contract Administrator shall be included any meeting, teleconference or written communication between any Town representative including Committee members and the CONTRACTOR. The TOWN may modify the Contract Administrator at any time upon providing written notice to the CONTRACTOR. ENTIRE AGREEMENT. This Agreement represents the entire agreement between the Parties. Any ambiguities or disputed terms between this Agreement and any attached Exhibits shall be interpreted according to the language in this Agreement and not the Exhibits. 6. INVOICING. Send all invoices to the contract coordinator at the address below. This Agreement shall become effective upon its approval and execution by TOWN.
