ADDENDUM TO SERVICE AGREEMENT
Rate, Not-to-Exceed Budget, and Assignment Terms
This Addendum (“Addendum”) is entered into as of September 10, 2026, by and between Hoxton Circle Inc.
(“Hoxton”) and the Town of Los Altos Hills (“Client”) and confirms the commercial terms of a specific
Assignment placed under the Service Agreement between People 2.0 North America, LLC (“People 2.0”) and
Hoxton (the “Service Agreement”). This Addendum is between Hoxton and Client only. It does not amend
the Service Agreement, and People 2.0 is not a party to it.
1. Assignment Details
1. Assigned Employee / Role: Yan Qiu, Accountant
2. Start Date: September 14, 2026
3. Anticipated Hours: 24 hours per week
4. Target Completion: on or about October 30, 2026, subject to Section 3 below
2. Bill Rate
The agreed hourly bill rate for this Assignment is $82.00 per hour, in accordance with Section II of the
Service Agreement. Overtime, if applicable, will be billed per Section VII of the Service Agreement (statutory
overtime rate plus applicable mark-up).
3. Not-to-Exceed Amount
Total fees, charges, and reimbursements billable to Client under the Service Agreement in connection with
this Assignment, including bill rate hours, overtime, holiday and sick pay, and per diem or other
reimbursable expenses, shall not exceed $60,000.00 (the “NTE Amount”) without Client's prior written
authorization to increase it.
Client is responsible for tracking cumulative billed amounts against the NTE Amount and for declining to
approve any timesheet that would cause the cumulative total to exceed the NTE Amount. Hoxton will
provide reasonable notice to Client as billed amounts approach the NTE Amount, but approval of
timesheets, and the resulting payment obligation, remains Client's responsibility under Section VI of the
Service Agreement.
This Assignment is open-ended and will continue past October 30, 2026, if needed, provided total billing
remains within the NTE Amount. Any work beyond the NTE Amount requires a written increase to this
Addendum before additional hours are approved.
4. Relationship to Service Agreement
All other terms of the Service Agreement remain in full force and govern this Assignment. In the event of a
conflict between this Addendum and the Service Agreement on the matters addressed above (rate and NTE
Amount), this Addendum controls as between Hoxton and Client.
