Enclosed: Amendment No. 2 to the Agreement with the Town of Los Altos Hills for use of Town Facilities and Audio-Visual Equipment, dated March 19, 2024, to add Exhibit F, Scope of Services for FY 2026-2027 and Hourly Rate/Rental Fee/Audio-Video Provider Fee, to add Exhibit G, FY 2026-2027 District Meeting Schedule, and to extend the term of the Agreement with all other terms and conditions to remain the same, that has been reviewed and approved by County Counsel as to form and legality Docusign Envelope ID: 51FE3F05-E0A1-86BF-8395-1C00C8981B3F Sept. 15, 2026, Amend No. 2 to LAH Facilities and A/V Equip Use Agreement Page 1 AMENDMENT No. 2 TO THE AGREEMENT BETWEEN THE LOS ALTOS HILLS COUNTY FIRE DISTRICT AND TOWN OF LOS ALTOS HILLS REGARDING USE OF THE TOWN OF LOS ALTOS HILLS FACILITIES AND AUDIO-VISUAL EQUIPMENT THIS AMENDMENT No. 2 (“Amendment No. 2”) to the Agreement between the Los Altos Hills County Fire District and the Town of Los Altos Hills made and entered into on March 19, 2024 (“Agreement”) is made and entered into by and between the Los Altos Hills County Fire District (“District”) and the Town of Los Altos Hills (“Town”) as of the 15th day of September 2026 (the “Effective Date”). RECITALS WHEREAS, on March 19, 2024, District and Town entered into the Agreement regarding the use of the Town’s facilities and audio-visual equipment; WHEREAS, on November 19, 2024, the District and Town extended the term of the Agreement to December 31, 2026 (“Amendment No. 1”); WHEREAS, the District and Town now desire to extend the term of the Agreement to June 30, 2027, revise the Scope of Services and Hourly Rate/Rental Fee, and incorporate the current District Meeting Schedule; and WHEREAS, as set forth in Paragraph 1.d.iii of the Agreement, the District and Town may mutually agree in writing to a revised rate schedule due to substantially modified AV Services at a different rate than set forth in Exhibit A to the Agreement. NOW THEREFORE, in consideration of the covenants, conditions and promises hereinafter contained, to be kept and performed by the parties hereto, District and Town hereby agree that the following sections of the Agreement are amended as follows: 1. All references in the Agreement to “Exhibit A” are hereby removed and replaced with reference to “Exhibit F,” including but not limited to the following sections: a. Section 1.a b. Section 1.c c. Section 1.d Reimbursement 2. Section 2.1, TERM is hereby amended to read as follows: “Term. This Agreement shall be retroactively effective starting on January 1, 2024, and will terminate on June 30, 2027, unless (a) earlier terminated pursuant to Section 2.2 or (b) extended pursuant to Section 2.3.” Docusign Envelope ID: 51FE3F05-E0A1-86BF-8395-1C00C8981B3F Sept. 15, 2026, Amend No. 2 to LAH Facilities and A/V Equip Use Agreement Page 2 3.Section 3.2 is hereby amended to add a second paragraph as follows: “The Town shall reserve and make the Areas available for all District Commission Meetings and LAH CERT meetings and activities as specified in the 2026-2027 District Meeting Schedule, attached hereto and incorporated herein as Exhibit G. Additional meetings and activities will be added to the calendar as mutually agreed to in writing by the Parties pursuant to Section 3.1(a).” 4.Exhibit F, Scope of Services for FY 2026-2027 and Hourly Rate/Rental Fee/Audio- Video Provider Fee, and Exhibit G, FY 2026-2027 District Meeting Schedule, attached hereto and incorporated by this reference, are hereby added to the Agreement. 5.All other terms of the Agreement shall remain unchanged and in full force and effect. If any conflicts exist between the Agreement and this Amendment No. 2, the terms of this Amendment No. 2 shall control. This Second Amendment may be executed in any number of counterparts, and all of such counterparts so executed together shall be deemed to constitute one and the same agreement, and each such counterpart shall be deemed to be an original provided all of the Parties have fully executed this Agreement. Unless otherwise prohibited by law or District policy, the Parties agree that an electronic copy of this Agreement, or an electronically signed Agreement, has the same force and legal effect as the Agreement executed with an original ink signature. The term “electronic copy of this Agreement” refers to a transmission by facsimile, electronic mail, or other electronic means of a copy of the original signed Agreement in a portable document format. The term “electronically signed Agreement” means the Agreement that is executed by applying an electronic signature using technology approved by the District.
